- ABOUT THIS POSITION
The successful candidate will assist in providing legal support to T.
Rowe Price’s business operations across APAC, EMEA and Canada, with a primary focus on EMEA.
He/she will work closely with the Legal teams based in London and Luxembourg, as well as other members of the EMEA and APAC Global Legal Advisory teams, in supporting funds, separate accounts, registration and related matters.
The role will involve a wide variety of predominantly asset management assignments, with core coverage in EMEA, with occasional support in wider APAC, EMEA and Canada matters.
The successful candidate will receive supervision but may be required to work independently in some cases and, in due course, may be responsible for final document negotiations.
He/she will also work with various associates in other business units.
- PRINCIPAL RESPONSIBILITIES
- Provides legal support in respect of EMEA and Canada institutional and intermediaries client agreements by:
- maintaining and updating various agreement templates (eg NDAs, investment management agreements, investment advisory agreements, distribution agreements, fee agreements), as well as internal legal databases and systems, including compiling and validating relevant data points.
- preparing drafts of agreements referenced above, as well as reviewing and analyzing agreements.
- Provides legal support in respect of T.
Rowe Price’s Luxembourg, UK and Canadian fund ranges, including maintaining legal procedures relating to the funds, assists with offering documents and regulatory filings.
- Prepare contracts documenting internal relationships between T. Rowe Price entities, including services, secondment, delegation and transfer pricing agreements.
- Assists with monitoring relevant regulatory developments, conduct research and participates in project groups dealing with impact of such developments as needed.
- Support ad hoc company secretarial matters, as well as the continuation of registration and corporate obligations are tracked and met.
The incumbent will need to become familiar with requirements in Luxembourg (CSSF), the UK (FCA), and Switzerland (FINMA), amongst others.
Works closely with other business groups, London Compliance, outside counsel and regulators in this regard.
- PREFERRED (OR ESSENTIAL) QUALIFICATIONS
- Bachelor's degree or the equivalent combination of education and relevant experience.
- Minimum of 3 years of legal experience, preferably in the asset management industry or an industry with relevant transferrable skills.
- Demonstrable related work experience or vocational qualification, preferably exposure in the drafting, review contracts.
- Good organizational skills and attention to details.
- Excellent written and oral skills.
Any other additional language skill would be a plus.
- Ability to interact with a diverse group of internal and external contacts.
- Must be able to take instructions from legal counsels or other parties day-to-day and manage/prioritise their own workload.
- The role will be supervised to an extent but the candidate must be able to work independently.
- WORK FLEXIBILITY
- This role is eligible for remote work up to one day a week.
- While the role includes occasional support on APAC-related matters, there is no expectation to work APAC hours.
