Our Client, an acquisitive Global Asset Manager, is looking to hire a Corporate Governance Manager who will be responsible for establishing a Corporate Administration team to service the Groups worldwide entities out of their UK office. Reporting to the CEO and Board, duties will include:

  • Set up the Department and then recruit & supervise junior staff
  • Oversee the formation and dissolution of entities.
  • Handle changes in officers and shareholders, ensuring filings are accurate.
  • Oversee statutory books and registers, including minute books.
  • Oversee the filing of documents with Companies House and other offshore registrars.
  • Spearhead regulatory requirement gathering for launching of offshore vehicles.
  • Supervise the maintenance of accurate records and statutory registers.
  • Prepare and distribute board packs, notices, and agendas.
  • Organize and attend meetings, recording minutes.
  • Assist with transaction documentation and coordination
  • Assist in deal structuring based on financial and regulatory insights.
  • Assess the context of each deal to advise on the best structuring approach.
  • Support other teams with regulatory and legal compliance.
  • Work closely with the Compliance function to monitor the regulatory landscape for any developments affecting group activities.

The successful candidate will either be a qualified/part qual Company Secretary (ICSA/Corporate Governance Institute) or a qualified accountant or lawyer, with at least 5 years experience in administration or governance in any FCA regulated entity.
