Our Client, an acquisitive Global Asset Manager, is looking to hire a Corporate Governance Manager who will be responsible for establishing a Corporate Administration team to service the Groups worldwide entities out of their UK office. Reporting to the CEO and Board, duties will include:
- Set up the Department and then recruit & supervise junior staff
- Oversee the formation and dissolution of entities.
- Handle changes in officers and shareholders, ensuring filings are accurate.
- Oversee statutory books and registers, including minute books.
- Oversee the filing of documents with Companies House and other offshore registrars.
- Spearhead regulatory requirement gathering for launching of offshore vehicles.
- Supervise the maintenance of accurate records and statutory registers.
- Prepare and distribute board packs, notices, and agendas.
- Organize and attend meetings, recording minutes.
- Assist with transaction documentation and coordination.
- Assist in deal structuring based on financial and regulatory insights.
- Assess the context of each deal to advise on the best structuring approach.
- Support other teams with regulatory and legal compliance.
- Work closely with the Compliance function to monitor the regulatory landscape for any developments affecting group activities.
The successful candidate will either be a qualified/part qual Company Secretary (ICSA/Corporate Governance Institute) or a qualified accountant or lawyer, with at least 5 years experience in administration or governance in a FCA regulated entity. Any experience of overseas requirements is useful but more important is a “sleeves rolled up approach”, willing to learn new material, take responsibility and getting involved in the detail.
