We are looking for an ambitious and experienced Private Funds Formation Lawyer to join our expanding legal team to support the Group General Counsel and the wider organisation on private funds formation as well as across all legal matters whilst working closely with the Compliance, Fund Operations, Investment and Distribution Teams. This represents an opportunity to join our organisation during a time of exciting growth, with real career development opportunities for the right candidate. This person will also gain invaluable experience working as part of a wider global legal team plus interaction with colleagues across other functions and jurisdictions.
Your role
- Advising Titanbay on the formation, structuring and operation of a wide range of private funds and other alternative investment funds.
- Reviewing, drafting and negotiating fund documentation, including offering memoranda, limited partnership agreements, subscription agreements, and side letters.
- Ongoing review of fund documentation and liaising with appointed fund counsel to the RAIFs on legal matters including amendments to funds, updates to meet the requirements for regulatory changes and corporate actions..
- Ensuring that fund structures comply with relevant securities laws, regulations, and industry standards (e.g., SEC, AIFMD).
- Advising on investor negotiations, assisting in the marketing and fundraising process, and addressing ongoing investor-related matters.
- Conducting legal due diligence for fund structures, investment agreements, and investor relations.
- Providing ongoing legal advice regarding fund governance, regulatory filings, marketing, and operational considerations.
- Drafting, reviewing and negotiating fund and delegate agreements, including management, investment advisory, administration and depositary agreements.
- Drafting, reviewing and negotiating Distribution Agreements with distributors being appointed to distribute our fund products in Europe and globally.
- Drafting, reviewing and negotiating all other legal agreements – e.g. IT agreements, licensing agreements, data protection agreements, consultancy agreements, intro-group agreements, supplier agreements, employment agreements and NDAs.
- Providing legal support to the business with cross-border fund promotion activities, i.e. marketing of investment funds and the distribution of the Titanbay fund products and services globally.
- Working with the appointed Company Secretary and Group General Counsel on company secretarial matters for the Titanbay Group, including shareholder meetings, board minutes, board meeting/pack preparation, liaising with report providers, board members and shareholders.
- Keeping up to date with respect to regulatory changes affecting the Titanbay Group and advising the business accordingly.
- Supporting the wider Titanbay compliance function.
- Supporting the Group General Counsel/Head of Legal on strategic projects and hoc legal matters.
- Managing the process of instructing external counsel where necessary across the various projects.
- Creating and improving legal processes to support the wider business.
- Other ad hoc duties relating to fund promotion and distribution activities and other legal matters.
- Provision of training to others departments and sharing team expertise.
What you’ll bring
- Lawyer with 5 to 10 years experience in private funds formation or related investment management practice at a law firm, or inhouse legal department.
- Expertise in advising private equity, hedge funds, venture capital, or other alternative asset managers on fund formation and compliance.
- Subject matter expert in Private Equity and Private Markets
- Strong understanding of the investment management industry
- Ability to manage multiple clients and projects simultaneously
- Experience with cross-border fund formation
- Excellent technical knowledge of the relevant legal and regulatory landscape including relevant Central Bank of Ireland and CSSF requirements
- Detail oriented with strong analytical and problem-solving skills
- Commercially minded with an adaptive nature
- Strong written and verbal communication skills
- Independent and critical thinking skills
