A UAE-based tier 1 Venture Capital fund is looking for a Legal Associate to join the team. The Legal Associate will be responsible for providing expert corporate and transactional legal advice, covering transactions, commercial agreements and internal affairs. As well as VC, the team also invests in private equity and private credit. This is an opportunity to join one of the leading investment teams in the region, with an exemplary track record.
Role overview
- Providing legal advice and service on investments, including managing legal processes and due diligence for strategic investments
- Drafting and negotiating term sheets and final definitive documents for investments, partnerships and commercial projects
- Conduct due diligence on potential investments, ensuring compliance with legal and regulatory requirements
- Identify and mitigate legal risks associated with investment strategies, transactions, and portfolio management
- Providing advice on shareholder, board matters and consents, monitoring and reviewing board and shareholders’ communications from portfolio companies
- Liaising and working closely with external service providers (legal counsel, fund administrators, auditors, etc)
- Reviewing, monitoring and implementing internal policies, including but not limited to employment and financial compliance policies
- Assist with investor relations and reporting, ensuring legal requirements are met
- Providing general day-to-day legal advice and general commercial and contract legal issues
- Research legal issues as necessary, including for new initiatives
- Stay up-to-date with securities laws, financial regulations, and other compliance requirements relevant to investment activities
Requirements
- 2+ PQE with a leading law firm or in-house at a top-tier investment firm, with experience in venture capital, private equity and M&A transactions
- Degree from a leading law school with excellent academic credentials
- Strong business and commercial judgment and project management skills to be able to execute beyond core legal areas, including the investment and administrative teams across multiple areas
- Strong oral and written communication skills. Fluency in English (essential), fluency in Arabic (desirable)
- Strong ethics, with an ability to manage confidential data
