Steyn Group is a global family office for the investment arm of a private family which undertakes a number of commercial investments and philanthropic activities. These investments and activities are predominantly in the UK, USA and Africa. The role supports the effective management of the legal, contractual and corporate governance activities within the UK division of Steyn Group, with exposure to and support for other jurisdictions (South Africa and USA) where required.
Operating as a Legal Services Associate position, the role works closely with and under the direction of the Senior Manager and other key members of the team, providing legal, administrative and coordination support to ensure Steyn Group’s investment objectives are met and its compliance obligations are maintained.
In particular, this role will:
- Support the Senior Manager and wider team, including the real estate/asset management teams, with contractual processes, including coordinating with external legal advisers where required.
- Provide Company Secretary and corporate governance support to UK entities.
- Provide support to ensure relevant Steyn Group internal functions and external advisors are engaged as appropriate in a timely and efficient manner.
- Liaise with Steyn Group’s portfolio companies, property managers and relevant group entities and support their contractual and other legal processes where required.
Contracts Management
This element of the role supports the management of contracts that Steyn Group is negotiating and entering into, ensuring appropriate documentation, tracking and alignment with group requirements and existing commitments.
Key responsibilities:
- Support the drafting of agreements or, where external counsel engaged, review of agreements to ensure the commercial intent is reflected.
- Assist with the drafting and review of term sheets.
- Coordinate and implement amendments to contracts.
- Respond to queries within the business on contracts or other legal queries, researching on legal issues where required and escalating any issues to the Senior Manager or other senior members of the team.
- Manage and coordinate signing process.
- Maintain records of constitutional documents, contracts and related amendments, including tracking key trigger dates and events.
- Assist with the coordination of external legal advisers where appropriate.
- Support internal legal processes relating to the real estate portfolio.
Company Secretary
Ensuring UK companies in Steyn Group comply with their statutory and governance requirements and implementation of key decisions.
Key responsibilities:
- Incorporate companies and partnerships where required.
- Assist with board and shareholder approval processes, including drafting and circulating resolutions, supporting the preparation of board materials and minutes and liaising with board members and key stakeholders as required.
- Prepare and submit Companies House filings, including confirmation statements and director changes and other statutory notifications.
- Maintain statutory registers and corporate records for companies and partnerships.
- Keep directors and key stakeholders informed on regulatory and legal matters which may impact them or the companies.
- Support the general administration of corporate record-keeping and any group policy management.
Skills And Qualifications:
- Good understanding of contract law and company governance, with the ability to apply this knowledge in a practical, commercial environment.
- Strong written and verbal communication skills, with confidence interacting with internal stakeholders and external advisers.
- Experience supporting the drafting, review and administration of commercial contracts, working independently where appropriate.
- Familiarity with company secretarial and corporate governance processes, including statutory filings and maintenance of corporate records.
- Experience in a legal, contract management, company secretarial or similar role, ideally within a commercial or professional services environment.
- Exposure to real estate-related legal work (such as leases, property transactions or property management documentation) and/or tax-related matters would be beneficial but not essential.
- Ability to manage multiple tasks and deadlines in a structured and organised manner.
- High level of attention to detail, particularly when handling legal documentation and filings.
- Good general commercial and financial awareness, with the ability to recognise when specialist input (e.g. tax or accounting advice) is required.
- Proficient in Microsoft Office.
- NQ to 2 PQE at a law firm or minimum of 3 years’ experience in a legal, contract management or company secretary role.
- Knowledge of trusts would be beneficial but not essential.
- Bachelor’s degree in law or related discipline.
- Prior experience within a family office, professional services firm or corporate environment would be beneficial.
