Stephenson Harwood is an international law firm with a focus on Energy Transition, Life Sciences, Private Capital, Technology and Transportation.
You will join the Commercial, Data and Technology team led by partners Naomi Leach and Dan Holland. The team advises UK and international clients on complex commercial contracts and technology agreements across sectors such as Life Sciences, Technology, Financial Services, Hotels & Leisure and Consumer Brands.
Main Responsibilities
- Draft, review and negotiate commercial contracts including master services agreements, supply, distribution, manufacturing, agency and franchising agreements.
- Advise on technology-related contracts such as software licensing, outsourcing, and tech transformation projects, along with data protection advice.
- Support corporate finance and private equity teams on commercial, data and technology ancillary agreements and due diligence.
- Provide clear, pragmatic legal advice on risk allocation, regulatory issues and compliance for day‑to‑day commercial arrangements.
- Conduct legal research, develop sector expertise, and upskill on emerging areas of legal regulation such as AI.
- Collaborate with partners and other team members on multi‑jurisdictional and cross‑practice matters.
- Assist with client relationship management and deliver business‑focused solutions.
- Contribute to business development through client meetings, networking events, and pitches and proposals.
Key Attributes and Skills
- Qualified lawyer with strong academic and professional credentials and post‑qualification experience in commercial contracts.
- Experience drafting, reviewing and negotiating supply, manufacturing, service, distribution, agency, franchising and outsourcing agreements.
- Desirable exposure to technology contracts (software licensing, outsourcing or digital transformation).
- Life sciences sector experience is an advantage.
- Strong ownership, technical expertise, client service and project management.
