Role Purpose: To lead the end-to-end contract lifecycle from initial client onboarding through to supplier management. You will ensure all engagements are underpinned by robust, compliant, and clearly defined contracts, owning the “Golden Thread” of compliance to ensure client promises are accurately reflected in our demands from staff, contractors, and vendors.
Responsibilities:
- Contract Management (MSA and SOW):
- Negotiate Terms: Lead negotiations of Client terms during the contract creation process to ensure both the Client and Stellar interests are protected.
- Review and Drafting: Conduct comprehensive reviews of client MSAs and draft SOWs using both company and client templates.
- Value Add: Partner with Sales and Delivery teams to ensure SOWs contain clear deliverables, milestones, and realistic SLAs.
- Governance: Maintain the Contract Register, ensuring meticulous filing and flagging renewals 90 days in advance.
- Assurance: Act as the gatekeeper to ensure no project commences without a signed SOW.
- Escalation: Identify and summarise any deviations from standard terms for the Head of Finance and Risk.
- Lead the contractual onboarding of new clients, managing contract execution and due diligence questionnaires.
- Act as the primary point of contact for client audits, ensuring internal records strictly match contractual commitments.
- Collaborate with the People Team to support contracts for permanent staff and DRC contractors.
- Ensure all resource contracts align with specific client flow-down requirements.
- Manage IR35 compliance for all contingent labour, ensuring contractual details are legally compliant.
- Conduct thorough supplier due diligence to ensure third parties meet both Stellar and client-specific requirements.
- Monitor and manage supplier performance against agreed contractual KPIs.
Experience & Skills Required:
- Experience: 3–5 years in a Contracts, Paralegal, or Commercial role—ideally within IT Services, Recruitment, or Consultancy.
- The Challenger Mindset: The ability to critically assess clauses to ensure the business is protected if project delivery risks arise.
- Regulatory Knowledge: Working knowledge of IR35, GDPR, and basic Indemnity/Liability concepts.
- Scotland-Specific Context: Familiarity with UK/Scottish contract law basics.
- Tech Savvy: Proficiency with digital signature tools.
- Stakeholder Management: Ability to work cross-functionally with Sales, Delivery, and Finance.
