About: We are a high-growth B2B2C SaaS company partnering with global fashion brands. We are looking for a senior in-house legal leader who wants genuine operating responsibility. You will work closely with the founders to own the company’s corporate structure, investor relations, commercial contracts, and equity frameworks helping to transform a fast-moving deep-tech startup into a robust, board-ready business.
Responsibilities
- Corporate entity restructure: Architect the corporate transition to a US entity, managing the legal and tax complexities of the UK-US bridge.
- IP & Patent Custodian: IP protection strategy and patent applications.
- Commercials: Vetting and negotiating commercial contracts with fashion brands and corporate partners.
- Remuneration & Equity: Reviewing, rationalising, and managing executive and employee compensation structures, including EMI schemes and the transition to US-compliant equity plans.
- External Governance: Auditing key third-party relationships to ensure board-level alignment.
Desired experience
- Start-up nouse: Prior in-house experience at a VC or PE-backed technology startup, ideally at Seed to Series A stage, with hands-on ownership through periods of rapid change and evolving governance.
- Investor Relations & Fundraising Support: Experience supporting founder-led fundraising and investor communications, including data room preparation, diligence coordination, cap table modelling, and ongoing investor updates. Comfortable acting as a steady, credible interface between founders, investors, and external advisors.
- US Corporate Governance: Deep, hands-on experience with US corporate governance and American commercial law.
- Legal: Deep understanding of commercial contract law and patent filing processes.
- Equity Expert: Proven experience managing cross-border option schemes and cap table restructuring.
- Technical Stewardship: A trusted technical steward who understands systems deeply enough to own security and audit outcomes, set standards, and make sound calls under pressure, without needing to be in the codebase.
