We are looking for a Company Secretary to deliver company secretarial services to State Street UK legal entities, lead a UK governance programme, and manage the UK Company Secretary team.

Key Responsibilities

  • Board and committee support: manage day‑to‑day governance requirements for UK boards and committees.
  • Develop close working relationships with chairs and members of boards and committees and act as first point of contact on all governance matters.
  • Support appointments and elections of board and committee members.
  • Contribute to meeting discussions, coordinate advice for members, and oversee scheduling, coordination and operation of board and committee meetings.
  • Organise and prepare agendas and papers for board and committee meetings, maintain up‑to‑date records, and distribute material via Diligent Boardbooks.
  • Take minutes, follow up actions from meetings, and manage the minute review process.
  • Provide dedicated point of contact for all board and committee members.
  • Maintain an annual calendar of board and committee matters, ensuring compliance with constitutional documents, terms of reference/charters, State Street’s Legal Entity Governance Standards, and all statutory, regulatory and legal requirements.
  • Lead board and committee effectiveness reviews and ensure compliance.
  • Oversee statutory books and registers, including electronic records via Blueprint.
  • Prepare and submit annual compliance statements and all required Companies House filings; oversee filing of statutory accounts and routine board resolutions.
  • Provide company information as required by business, auditors and regulators.
  • Draft, maintain and approve policies and procedures.
  • Deal with correspondence, collate information, write reports, and ensure decisions are communicated to relevant stakeholders.
  • Prepare agreed‑upon management information and key performance indicators.
  • Liaise with control functions and oversee periodic review and updating of CSO pages on the intranet.
  • Guide and advise junior members of the CSO in their duties.
  • Manage the Company Secretary Function and drive success against internal priorities, KPIs/KRIs/OKRs.
  • Review and roll out new technologies and processes (e.g., AI) to maximise team efficiency.
  • Ensure each team member has a clear career development pathway and that workloads reflect skillsets and interests.
  • Represent the Company Secretary Function in internal and external meetings and deputise for the UK CEO and members of the UK CEO Office on governance matters.

Qualifications & Requirements

  • Educated to degree level.
  • Preferably qualified by the Chartered Governance Institute (ACIS or FCIS).
  • Proficient in PowerPoint, Word and Excel.
  • Understanding of the finance sector, FCA, and PRA, and the Senior Manager Regime.
  • Experience as a company secretary in a financial institution.
