We are seeking a talented US Capital Markets Associate to join the London office of a leading international law firm.
The successful candidate will join a highly regarded Capital Markets practice, advising on a broad range of complex cross-border debt securities transactions, with a particular focus on high-yield debt offerings.
The Role
The role will involve advising issuers, investment banks and private equity sponsors on:
- High-yield bond offerings, including Rule 144A and Regulation S transactions.
- Debt capital markets and international securities offerings.
- Acquisition financings and refinancings.
- Liability management transactions, including tender offers and exchange offers.
- Bond documentation, indentures and offering memoranda.
- US securities law aspects of cross-border financing transactions.
Candidate Requirements
- Class of 2021–2024 (approximately 2–5 years' PQE).
- Experience at a leading US or international law firm.
- Strong experience in US capital markets, ideally with a focus on high-yield debt.
- Familiarity with Rule 144A and Regulation S offerings.
- Excellent drafting, analytical and communication skills.
- Experience working on complex, cross-border transactions.
