A leading US law firm is seeking a talented Banking & Financial Services Regulatory Associate with approximately 3 PQE to join its highly regarded London practice. This is an excellent opportunity to become part of a market-leading team advising global financial institutions, investment banks, private credit funds and asset managers on complex UK and European financial services regulatory matters. The Role

The successful candidate will advise on a broad range of UK and EU financial services regulatory issues, with a particular focus on the regulatory framework governing securitisation and structured finance transactions. Key responsibilities will include:

  • Advising clients on the application of the UK and EU Securitisation Regulations, including analysing whether proposed transactions fall within the scope of the securitisation regime.
  • Working closely with transaction teams to develop compliant securitisation structures and provide practical regulatory advice throughout the lifecycle of transactions.
  • Advising on risk retention, transparency and due diligence obligations applicable to issuers, sponsors, originators and investors.
  • Preparing and negotiating risk retention documentation and associated regulatory compliance memoranda.
  • Drafting and reviewing securitisation-related regulatory disclosures for offering circulars and other transaction documents.
  • Monitoring regulatory developments affecting structured finance markets and providing commercially focused guidance to clients.

Candidate Profile

Applicants should have:

  • Around three years' PQE gained at a leading international or City law firm.
  • Strong experience advising on UK and EU financial services regulatory aspects of securitisation and structured finance transactions.
  • A solid understanding of the UK and EU Securitisation Regulations, including risk retention, transparency and disclosure requirements.
  • Excellent drafting skills, with experience preparing transaction-related regulatory documents.
  • Technical ability, commercial judgement and the confidence to work directly with clients and multidisciplinary deal teams.
