We are partnering with a leading private investment firm to recruit a second lawyer in London, who will ultimately be capable of being a successor to their Head of Legal longer-term. Located in Knightsbridge, they are raising their 2nd European fund, securing investment for buy & build investments operating in the services sector, primarily in Europe.

Whilst full time, you can enjoy a level of flexible working unparalleled in most private equity investment firms. The ideal candidate will have at least 6 years’ PQE gained at a major law firm in corporate transactions and private equity style investments and shareholder agreements and crucially now also have spent time in-house in a similar transactional role. Their strong preference is for those who have already permanently moved in-house over those who have secondment experience only.

This is an opportunity to join a highly collaborative team doing challenging, interesting work, collaborating interactively with the firm’s deal team, operations and portfolio companies and work across many transactions. An ability to be highly proactive in new situations and to competently manage projects and third parties is important and the role will best suit a lawyer who thrives in a dynamic and fast-paced environment.

Key Responsibilities
  • All areas of legal with a particular focus on transactional work.
  • Draft and review of M&A transaction documents, including engagement letters, consultancy agreements, offer letters, term sheets, share/asset purchase agreements, investment/co-investment/shareholder agreements and oversee transactions and transaction documentation in collaboration with the deal team, managing legal workstreams and coordinating with external counsel and assisting with transaction execution.
  • Collaboration with deal and operations teams on the implementation and ongoing maintenance of management incentive plans.
  • Supporting on portfolio company matters, including bolt-on M&A, corporate governance, HR and the financing of transactions.
