Key responsibilities include:
- Supporting all legal aspects of credit fund formation, with a focus on Luxembourg structures.
- Ensuring compliance with AIFMD, MiFID, GDPR, securities laws and wider fund regulatory requirements.
- Reviewing investor marketing materials, RFPs, DDQs, pitch books and financial promotions for FCA and SEC compliance.
- Coordinating fund closings with advisers, administrators and internal teams.
- Providing legal support on direct lending transactions, including advising on LPA terms, investment guidelines and side‑letter provisions.
- Managing external legal and regulatory advice and supporting investor relations and investment teams.
- Assisting with operational fund structuring and negotiating service provider engagements.
- Supporting AML/CTF processes on fund investments.
- Reviewing and negotiating supplier contracts, NDAs and other commercial agreements.

We welcome interest from lawyers who are England & Wales qualified with at least 4PQE in fund formation, gained in the funds team of an international law firm or in‑house within an investment manager.
