Key responsibilities include:
- Supporting all legal aspects of credit fund formation, with a focus on Luxembourg structures.
- Ensuring compliance with AIFMD, MiFID, GDPR, securities laws and wider fund regulatory requirements.
- Reviewing investor marketing materials, RFPs, DDQs, pitch books and financial promotions for FCA and SEC compliance.
- Coordinating fund closings with advisers, administrators and internal teams.
- Providing legal support on direct lending transactions, including advising on LPA terms, investment guidelines and side‑letter provisions.
- Managing external legal and regulatory advice and supporting investor relations and investment teams.
- Assisting with operational fund structuring and negotiating service provider engagements.
- Supporting AML/CTF processes on fund investments.
- Reviewing and negotiating supplier contracts, NDAs and other commercial agreements.
- Contributing to group and fund compliance policies and documentation.
We welcome interest from lawyers who are England & Wales qualified with at least 4PQE in fund formation, gained in the funds team of an international law firm or in‑house within an investment manager. Substantial experience of private credit investment fund structures (and Luxembourg domiciled funds) is highly preferable.
