An investment-focused financial services institution is seeking an experienced Legal Counsel to join its in-house legal team on a fixed-term basis. The organisation has a significant footprint in the UK market and a strong reputation for prudent asset management and risk mitigation strategies.

The Role

The successful candidate will support the asset origination and investments teams. The focus will be on providing high-quality, commercially minded legal advice across a range of liquid and structured finance transactions, including social housing bonds, US private placements, and municipal bonds.

Key Responsibilities

  • Provide legal support on the execution of a wide range of debt and structured finance investments.
  • Review and negotiate term sheets, transaction documents, NDAs, and related materials.
  • Advise on liquid investments such as bonds and private placement notes.
  • Interpret and assess bond prospectuses, consent solicitations, and associated risk factors.
  • Assist in the negotiation and upkeep of trading agreements (e.g. ISDAs, GMRAs) with financial counterparties.
  • Manage queries related to existing assets, including legal risk analysis and regulatory compliance.
  • Liaise with and manage external counsel where necessary.
  • Keep abreast of relevant regulatory frameworks applicable to asset investments by insurers.

Key Requirements

  • UK-qualified solicitor with 3+ years’ PQE.
  • Strong experience in debt capital markets, fixed income instruments, and/or structured finance from a leading law firm or in-house legal team.
  • Good understanding of security structures and credit risk mitigation.
  • Experience with ISDA/GMRAs and/or familiarity with US capital markets is advantageous but not essential.
  • Ability to balance technical legal expertise with a pragmatic, business-oriented mindset.
  • Demonstrated ability to manage multiple transactions and stakeholder relationships efficiently.
