Seeking a qualified Assistant Company Secretary with 5+ years of experience in financial services and PLC. Varied governance and project role with exec level committee access and senior stakeholder management.
Role Responsibilities:
- Preparation for potential future scenarios such as UK public listing / IPO
- Providing a professional company secretarial service and advisory governance services to the Group-level committees and senior stakeholders
- Appointment as Secretary to Group-level and other boards and committees as appropriate
- Provision of the shares team in shareholder and share capital-related matters
- Appointed Secretary to Group-level committees to offer advisory governance services, preparation and circulation of agendas and papers, attendance at meetings and preparation of minutes, and management of actions arising from meetings
- Maintenance of statutory registers using the Diligent Entities system
- Testing and Implementation of new technology products across the governance and wider legal systems
- Prepare and circulate written resolutions of Group-level boards and committees to Major Shareholders and Investor Directors
- Provide company secretarial support and advice to the Shares team, including share allotments, share transfers, leaver processes, the internal share offer, shareholder portals and platforms, share buybacks, and shareholder votes
- Support a sound understanding of Financial Conduct Authority regulatory requirements within the Company Secretariat
- M&A activity, Group-wide large corporate projects and ad hoc matters
- Organising AGMs and EGMs of UK Group companies as required
Application Requirements:
- 5+ years in the financial services industry, routinely minuting board meetings
- UK/US listed plc experience
- Qualified Company Secretary (essential)
- Genuine interest and experience working with new technology and AI products
- Technical knowledge and experience working on complex governance projects
