Assistant Company Secretary – Financial Services
Based in the Midlands – Hybrid working

SSQ is partnering with a Global Financial Services organisation to secure a qualified Assistant Company Secretary with experience in Financial Services to join their UK Team.
The team is known for being trailblazers in corporate governance, and leading the way with new policy and regulation.
Suited to someone with 3+ years of experience in Company Secretarial, exposure to running high-profile committee meetings, subsidiary governance and governance projects.
- Assisting with drafting Board and Committee papers as required, providing Board, Board committee and executive governance meeting support, including drafting agendas, annual agenda planners, paper guidance, meeting pack collation and distribution and following up actions
- Supporting annual reviews of the terms of reference and board and committee effectiveness, including supporting board and board committee evaluations
- Supporting new NED appointments, inductions and onboarding, and supporting on day-to-day NED requirements, as required
- Assisting with the Governance Team’s interim and annual financial reporting processes and procedures
- supporting the drafting of the Governance Team’s disclosures in Interim and Annual Report and Accounts
- Responsibility for being the named company secretary, providing full end-to-end company secretarial services and governance support to a number of active and regulated subsidiaries
- Supporting and contributing to ad hoc activities as and when required, such as capital injections, chare capital changes, dividend payments, business disposals, acquisitions
- Building strong relationships and engaging with stakeholders in the global Governance Teams, Functions and Businesses
- Contribute to corporate transactions, regulatory projects and regulatory submissions as and when required
Requirements:
- CGI Qualified
- 3-6 years of experience in Company Secretarial in the UK
- Experience working in Financial Services or a UK regulated organisation
- Experience in a listed organisation is preferred, but not essential
