Maternity contract Southampton Hybrid
Role responsibilities:
- Supporting the Company Secretary by attending meetings
- Drafting and/or reviewing minutes and following up on key action points
- Providing timely governance advice when required
- Statutory compliance – responsible for ensuring the maintenance of statutory records and registers for entities
- Ensuring the timely submission of statutory filings including to Companies House and anywhere else required
- Assisting in the production and approval of the Annual Report and Accounts
- Maintain the annual governance and compliance calendar.
- Assisting and advising the Chair, Chief Executive and the Executive Team on company secretarial-related matters.
- Supporting key Company Secretary projects such as a Governance Review and external board evaluation
- Assisting with the Annual General Meeting (AGM) and the delivery of charity and subsidiary company meetings and associated procedural requirements in line with good governance.
- Assisting in the maintenance of governing documents recommending changes as necessary to reflect changing strategic, legal and best practice requirements.
Role requirements:
- Able to start a new role before the start of August 2025
- Qualified Company Secretary (desirable)
- 2+ years of experience in a governance or company secretarial role
