The Corporate Legal Department is based in London and contains 5 lawyers, 2 paralegals, and 1 administrative assistant. This role reports directly to the Associate General Counsel, International Corporate, and supports the legal entities globally from a subsidiary governance and corporate legal perspective.

You will work in a friendly in‐house environment with colleagues across multiple functions and business lines, and with third parties, around the globe. You will have the opportunity to develop in‐house legal skills and benefit from flexible working arrangements.

Impact

This position contributes to the subsidiary governance of over 380 legal entities worldwide and supports the organization from a corporate information and records perspective.

Responsibilities
  • Managing and maintaining corporate information for over 380 global subsidiaries in Diligent Entities.
  • Preparing periodic reports on global subsidiaries to support regulatory filings.
  • Preparing periodic global structure charts and ad‐hoc structure charts to support KYC requests, using Orbitax ChartIt.
  • Establishing, updating and maintaining statutory books and compliance for over 90 UK subsidiaries, including overseeing Companies House filings and record‐keeping.
  • Establishing, updating and maintaining power of attorney and authorised signatory lists.
  • Assisting with regular review of corporate records of global subsidiaries with local counsel, regional controllers and legal colleagues to ensure accuracy of corporate records and corporate information in Diligent Entities.
  • Providing timely responses to clients' and internal requests for information related to corporate actions and records.
  • Managing and maintaining legal entity identifiers (LEIs) for subsidiaries.
Working Hours

9:00 am – 5:00 pm UK time.

What We're Looking For
  • At least a 2:1 Bachelor of Law qualification, together with the Legal Practice Course or similar, and having successfully completed a training contract at a reputable law firm or in‐house at a large company.
  • Minimum 2 years PQE of corporate law, including company secretarial experience.
  • In‐depth knowledge of using and maintaining Diligent Entities, Excel and, ideally, Orbitax ChartIt.
  • Excellent organisational and project management skills.
  • Ability to react quickly and adjust priorities on short notice.
  • Professionalism and responsiveness, and ability to communicate with people at all organisational levels.
  • Ability to operate autonomously while being a team player who brings a positive, enthusiastic attitude to the workplace and works collaboratively with other members of the team and with other colleagues.
