We are seeking an experienced Senior Legal Counsel to join our expanding legal team, supporting our strategic growth and business integration plans. Reporting directly to the Group General Counsel, you will play a crucial role in managing corporate transactions and advising on legal matters across the organization.
Key Responsibilities:
- Transaction Management: Supervise and progress corporate acquisition transactions to completion, working with external counsel and managing legal due diligence.
- Collaboration and Support: Assist the Group General Counsel on larger transactions, support junior counsel, and liaise with M&A, tax, HR, finance, and other teams.
- Corporate Governance: Manage smaller corporate matters, including reorganizations, governance advice, and company secretarial tasks.
- Business Advice: Provide guidance on non-corporate queries, regulatory matters, and occasional commercial contracts.
Requirements:
- Essential: Minimum 4-5 years post-qualification experience in UK law with a corporate/M&A background. Commercial training or deal experience in private practice. Self-reliant with strong commercial acumen and interpersonal skills. Ability to communicate complex ideas simply and effectively.
- Preferred: Experience in overseas jurisdictions or commercial life. Familiarity with the testing, inspection, certification, or compliance services sector. Knowledge of private equity-backed businesses or large business disposal processes.
