The Opportunity

The UK and EMEA proxy teams of Sodali & Co provide strategic advice to major listed issuers on high-profile matters related to corporate governance, investor relations and shareholder engagement, M&A and Activism, annual general meetings, ESG and sustainability.

The team are highly regarded, and part of a global shareholder engagement team that is recognised as the leading proxy solicitation firm globally.

The team is a trusted advisor in M&A transactions and counsels companies within shareholder activism and takeover/raid defence mandates as well as response to broader hostile activity or unsolicited approaches.

The UK/EMEA team directly partner with management boards and supervisory boards as well as senior leaders (Head of Investor Relations, Chief Legal Officer, Head of Corporate Board Office/Corporate Secretary) of the respective listed company.

Key Responsibilities of the Manager, Proxy Role

  • Participate and support in advisory assignments on matters related to corporate governance, shareholder engagement and proxy solicitation, capital markets intelligence as well as sustainability and ESG.
  • Work and assist on special situations (M&A and shareholder activism), including live raid defence, proxy fights, contests for corporate control and crisis management.
  • Research and evaluate companies’ corporate governance and stewardship record and vulnerability.
  • Analyse, modelling and interpreting companies’ shareholder base profile, including proxy voting guidelines and past voting behaviour of major institutional investors to project impact and outcome of shareholder votes.
  • Analyse the influence, policies and frameworks of proxy advisory firms (e. g., ISS and Glass Lewis).
  • Develop shareholder engagement and corporate governance roadshow concepts and materials (e. g., investor profiles) by thoughtful research on institutional investors and other stakeholders.
  • Identify and actively support the pursuit of new business development opportunities. Liaison with clients, other advisors (e. g., law firms, investment banks).
  • Cooperate and coordinate workstreams with other internal teams and business segments of Sodali & Co (e. g., corporate governance team, sustainability team, engagement team, M&A and activism team, strategic communication team, research and analytics team).
  • Engage in meaningful discussion with institutional and retail investors as well as proxy advisory firms.
  • Monitor shareholder positions and trading activities.
  • Prepare executive summaries, client presentations, case studies and board ready briefing materials.
  • Conduct research and surveillance on relevant governance, shareholder and activism trends.
  • Develop and expand subject matter knowledge related to corporate governance, investment stewardship, shareholder dynamics, activism and ESG.
  • Maintain the UK team’s various databases and in-house intelligence.
  • Leverage financial and business intelligence databases such as Factset, Refinitiv Eikon, Bloomberg, ISS-Corporate, Diligent Market Intelligence, Broadridge as well as the firm’s proprietary databases, including the Sodali & Co Platform, to process, analyse and present obtained information in the form of texts, charts and tables.

Qualifications

  • Experience in M&A and Activism proxy solicitation, investor relations, corporate governance, capital markets, investment management, investment banking or finance.
  • Academic track record demonstrating numeracy and critical thought.
  • Highly organised, intellectually curious and analytically minded.
  • Advanced user in Excel.
  • Confident to work with qualitative and quantitative datasets to synthesise information and develop innovative, sophisticated solutions.
  • Outstanding project management skills with the ability to prioritise competing projects and deadlines .
  • Exceptional written and verbal communication skills with the ability to elaborate concepts and ideas concisely and defend their validity.
  • Professional and mature manner, ability to politely and considerately interact with clients, other advisors and colleagues while applying highest standards of business etiquette.
  • Ready to assume responsibility in high-stake situations in combination with a relentless work ethic and high resilience.
  • Unconditional integrity, confidentiality and discretion.
  • You will be required to interact with senior leaders of the firm as well as company boards, senior managers of issuers and other advisors (e. g., investment bankers, lawyers), exceptional communication and interpersonal skills are therefore indispensable.
