Provides comprehensive paralegal assistance to partners and attorneys primarily in the form of document preparation, coordination, production, distribution and legal research, with limited supervision, throughout all phases of Corporate work for the Financial Institutions Group.
ESSENTIAL FUNCTIONS
- Provides paralegal support to attorneys, senior paralegals, and senior practice area specialists across all practice areas.
- Proofreads and documents turnaround.
- Cross referencing of defined terms.
- Indexing of documents.
- Document management (pre and post completion).
- Composition of transaction bibles (hard copies/E bibles), including sourcing documents, indexing and publishing.
- Assists with due diligence: review and analysis of constitutional documents and financing documents; coordinate Q&As and assist with minor drafting of due diligence reports and contract summaries.
- Prepares and collates corporate authorisations and other conditions precedent / deliverables.
- Provides company secretarial support including, draft board minutes and written resolutions of directors and shareholders, prepare statutory declarations.
- Has experience with Companies House, including arranging filings (e.g. director appointments, capital reductions, charges registration, etc.); running Companies House searches, ordering certified copies and/or good standing certificates.
- Assists at signing and completion meetings and coordinates closing documents.
- Arranges DocuSign executions.
- Assists with company and winding up searches.
- Provides Data room administration and supervision.
- Prepares corporate profiles through factual research and analysis of constitutional/company documents.
- Performs legal and non-legal or factual research using a variety of legal research tools for case law, legislation, commentary, company and business information and practical guidance, including but not limited to, in respect of Corporate law, Data Protection, IP/IT, Capital Markets, Public and Private M&A, Insurance, Banking.
- Prepares documents: create files, amend documents, print, photocopy, scan and quality checks.
- Delivers and collects documents by hand.
- Prepares and maintains databases and trackers relevant to practice group.
- Prepares Audit Response Letters in line with the Firm's audit letter procedure.
- Archives and disposes of documents in line with department protocols.
- Liaises with external agencies to organize translators, notaries, etc.
- Seeks to improve workflow and assists in creating and maintaining paralegal department know-how files.
- Demonstrates effective interpersonal, written and verbal communication skills to facilitate effective work relationships with others.
- Manages Firm resources responsibly.
- Complies with and understands Firm operation, policies and procedures.
- Performs other related duties as assigned.
KNOWLEDGE, SKILLS AND ABILITIES
- Knowledge of relevant firm computer software programs (e.g., Outlook, Excel, PowerPoint), with the ability to learn new software and operating systems.
- Ability to navigate various electronic databases, virtual data rooms and document review platforms.
- Strong research skills and proficiency in using various research tools, including Westlaw UK, Lexis Library, Practical Law, company registries and other court-related websites.
- Excellent analytical, troubleshooting, organizational, and planning skills.
- Demonstrates effective interpersonal and communication skills, both verbally and in writing.
- Superior organizational skills to handle multiple assignments and shifting priorities and deliver on time.
- Demonstrates ability to pay close attention to detail and performs with a high degree of consistent accuracy.
- Displays strong initiative in carrying out assignments and assumes a high level of responsibility for assigned tasks.
- Ability to handle sensitive matters and maintain confidentiality.

EDUCATION AND EXPERIENCE
- Legal Practice Course with corporate electives.
- Law Degree or Graduate Diploma in Law or similar.
- Minimum of one and up to three (1 – 3) years of experience in a corporate legal assistant position or a position requiring similar skillset, expertise and experience.
