A high-growth, international business is looking for a Senior Assistant Company Secretary to join its in-house Company Secretariat team. This is a senior, high-impact role at the heart of corporate governance, offering real ownership, cross-functional influence, and genuine career progression to Deputy.
WHAT YOU'LL DO
- Drive the full Board and Committee cycle, from planning and papers to minutes and actions.
- Take the lead on drafting governance sections of the Annual Report and delivering the AGM.
- Own day-to-day MAR compliance, including insider lists, closed periods, and advising the wider business.
- Oversee subsidiary governance across multiple jurisdictions.
- Support M&A and corporate transactions.
- Work closely with HR on share scheme administration.
- Step up to cover for the Group Company Secretary when needed.
WHAT YOU'LL NEED
- CGI qualified, with at least eight years’ experience in a listed or regulated environment.
- Deep expertise in the UK regulatory landscape including the Companies Act 2006, FCA Listing Rules, MAR, and the UK Corporate Governance Code.
- Ability to translate knowledge into clear, practical advice for senior stakeholders.
- Highly organised, take pride in your work, and proactively identify opportunities for improvement.
BONUS EXPERIENCE: Annual Report governance input, MAR frameworks, M&A / restructurings, multi-jurisdiction subsidiaries, share schemes, team mentoring.
