Job Description
The company
Simmons & Hanbury have been instructed by an exciting and acquisitive global entertainment business who are seeking an in-house legal counsel to support the Legal Director, particularly on its corporate legal activities. This is an exciting opportunity for a corporate lawyer to make an in-house transition in a supportive environment, whilst still focusing on interesting corporate legal work without the gruelling hours.
The role
An in-house legal role in a multi-disciplinary legal team, focusing on corporate matters including:
- Providing legal support in connection with group M&A/corporate activity, including (with the help of specialist outside law firms where required):
- Overseeing due diligence of potential acquisitions
- Coordinating drafting and helping with negotiation of term sheets and transaction documents
- Drafting intercompany financing and structuring agreements
- Assisting with integration of businesses post-acquisition
- Supervising the paralegal in connection with Company Secretarial matters, including:
- Providing general assistance to Director of Legal and work closely with Senior Counsel
- Providing legal ad hoc support to operating businesses, including:
- Supporting the business’s corporate governance activities
About you
- Minimum 3 years of post qualification experience*
- Good law firm training
- Corporate M&A experience
- Secondment experience useful but not essential
- Good interpersonal skills and enjoys being part of a collegiate team
*all PQE levels will be considered but the ideal range is 3-4 years.
