Overview
The Company Secretariat team at Severn Trent plays a vital role in supporting the Board and senior management by providing expert governance advice and ensuring compliance with regulatory and legal requirements. Led by the Group Company Secretary, the team helps uphold high standards of corporate governance across the organisation, enabling effective decision-making and accountability. They also manage board and committee operations, maintain statutory records, and support the governance of subsidiary entities.

We have an exciting opportunity for you to join our Company Secretariat team as their Senior Assistant Company Secretary
As our Senior Assistant Company Secretary, you will work with and deputise for the Deputy Company Secretary, acting as a trusted adviser to the Boards of Severn Trent Plc Group (the ‘Group’) companies and their Committees.
You will provide expert guidance on corporate governance, regulatory compliance, and company law, helping the Group’s Boards to operate with maximum effectiveness in their duties and decision making.
You will also act as Secretary to Board Committees and the Group’s subsidiary boards, as required.
In addition, you will play a key role in leading the Company Secretariat Team, taking a hands-on approach to delivery, team engagement, and the development of skills across the function.
Further responsibilities include:
- Regularly review compliance with the UK Corporate Governance Code, including Board Committee Terms of Reference and governance arrangements.
- Monitor adherence to the Companies Act, Listing Regime, Takeover Code, and Disclosure and Transparency Rules.
- Manage the release of market information and safeguard unreleased, price-sensitive data.
- Maintain and implement up-to-date Group policies.
- Organise Board and Committee meetings, ensuring timely and high-quality documentation.
- Attend and minute meetings, deputising for the Group Company Secretary when required.
- Prepare for general meetings, including drafting documents and overseeing procedural compliance.
- Support regulatory reform engagement and submissions in collaboration with corporate functions.
- Advise senior management and other functions on governance, reporting, and compliance aspects of transactions.
- Oversee the governance content of regulatory submissions, including that of the Annual Performance Reports for appointed entities as required by Ofwat.
- Responsible for the development of members of the Company Secretariat Team – line manager, coach and mentor for Team members as required.

The ideal candidate will be a Qualified Company Secretary with substantial experience in a listed PLC environment. You will have a proven track record of engaging with, building trust among, and influencing stakeholders at Board and Executive levels, alongside experience in partnering with and managing senior leaders. Demonstrating specialist knowledge, authority, and credibility in corporate governance and corporate or corporate finance transactions, you will be comfortable operating in highly confidential and price-sensitive settings. You will be quick to absorb new subject matter and adept at driving change and shaping policy accordingly. While experience in a highly regulated industry would be beneficial, it is not essential.
