As an Assistant Company Secretary, you will play a key role in delivering high‑quality governance and company secretarial support across the Group, with a particular focus on our expanding Non‑Regulated business. This is a fantastic role for a governance professional who wants to contribute to a purpose‑led FTSE 100 organisation well‑known for strong ethics, transparency, and a robust governance culture. You will help ensure we meet all statutory, regulatory and governance obligations—while championing best practice and supporting excellence across our operations.
We are looking for a confident and proactive individual with strong communication skills, excellent attention to detail, and the ability to manage a varied workload effectively. Ideally, you'll be CGI‑qualified (or close to completion) and bring at least three years’ experience from a Company Secretariat function, ideally within a listed or regulated environment. Your ability to build trusted relationships and exercise sound judgement will be key to your success.
If you are seeking a role where you can make a meaningful impact, grow your expertise and be part of a collaborative, forward‑thinking team—we would love to hear from you.
What You’ll Be Doing
This role offers a unique opportunity to grow your governance experience in a supportive and high‑performing team. You will gain broad exposure to Board and Committee activities, complex subsidiary governance, and a range of strategic corporate initiatives. Working closely with colleagues across the business, you’ll help ensure our governance, legal and statutory requirements are delivered to consistently high standards.
- Supporting both regulated and non‑regulated subsidiary boards, ensuring meetings are well‑organised and accurately minuted.
- Preparing and managing governance materials including agendas, action logs, briefing packs, templates and resolutions.
- Building effective working relationships with Plc and Subsidiary Board directors, senior leaders and colleagues to ensure timely preparation and circulation of papers.
- Leading governance activities for designated non‑regulated subsidiaries, including attending meetings, producing accurate minutes and providing governance guidance.
- Supporting corporate transactions, including acquisitions, disposals, restructuring and rationalisation projects.
- Leading the annual accounts filing process for all subsidiaries.
- Managing company incorporations, dissolutions and broader legal entity lifecycle tasks to maintain compliance and procedural efficiency.
- Attending Executive‑level committees (where required), supporting strong governance and producing clear and accurate minutes.
- Assisting with the planning and delivery of the PLC Annual General Meeting, including timelines, documentation and governance outputs.
- Supporting the drafting and coordination of routine RNS announcements.
- Promoting a digital‑first mindset, helping identify opportunities to streamline processes, automate activity and enhance use of governance technology.

You’ll join a caring culture that collaborates to achieve, grow, and develop. Our employee engagement scores are among the highest globally in energy and utilities. That’s why, we value in‑person moments to keep our culture alive but also understand the flexibility working from home can bring. So, you’ll usually find us in the office, but working from home is supported, when you need it.
What We’re Looking For
To thrive in this role, you will bring:
- Good knowledge of UK company law, the UK Corporate Governance Code and listed‑company governance expectations.
- Experience supporting Boards and Committees, with strong minute‑taking and agenda‑planning skills.
- Excellent writing ability, attention to detail and organisational skills.
- Confidence managing competing deadlines and demonstrating sound professional judgement.
- Experience using Diligent Boards or similar governance systems (desirable).
