Delivering corporate governance support to TP ICAP Group. Work as part of a team of eight, supporting the Head of EMEA Governance to provide structured and effective wide‑range company secretarial services to both the EMEA Sub‑Group and the broader global subsidiary group.
Role Responsibilities
- Assist the Head of EMEA Governance in delivering high‑quality company secretarial services to the business and stakeholders.
- Act as a technical escalation point and deputise for the Head of EMEA Governance.
- Provide end‑to‑end meeting support to the EMEA Sub‑Group regulated boards, committees and management meetings.
- Own a portfolio of meetings: liaise with stakeholders, prepare and circulate agendas and papers, take minutes and maintain accurate action logs.
- Build relationships with senior stakeholders including Executive Directors and Non‑executive Directors.
- Support corporate transactions for UK companies (dividends, share capital changes and other ad‑hoc requests).
- Support group restructuring, acquisition and governance projects.
- Maintain the EMEA Sub‑Group governance framework: review and update governance documentation, conduct board effectiveness reviews, support governance initiatives and board training.
- Champion governance process enhancements and board reporting quality.
- Supervise and develop junior team members.
- Oversee Group structure and secretariat database (GEMS).
- Oversee statutory compliance for the portfolio of EMEA companies in the UK and internationally, liaising with overseas colleagues and professional advisers.
- Collaborate with colleagues in the Americas and APAC to support Group requests, arrange approval and execution of corporate documentation.
Experience / Competencies
- Demonstrable company secretarial experience.
- Fully CGI qualified (CG (Affiliated) / Grad CG / ACG); 5+ years post‑qualification.
- Knowledge of the legal, regulatory and corporate governance framework for UK regulated companies.
- Strong minute‑writing skills with technical accuracy and commercial awareness.
- Excellent written and verbal communication skills.
- Good attention to detail.
- Self‑motivated, able to work fast‑paced and prioritise workload.
- Can‑do attitude and excited about shaping responsibilities.
- Team player, able to build rapport and trust with internal and external stakeholders.
- Financial services sector experience is beneficial but not essential.
