This is a highly visible role that would suit an experienced Assistant Company Secretary who enjoys variety, stakeholder engagement and wants exposure to PLC governance, Board and Committee work, governance projects and share plans.
About the role
As Senior Assistant Company Secretary, you’ll support the Group Company Secretary in delivering high standards of governance across the Group. You’ll play a key role in the effective running of the Company Secretariat function, working closely with Board members, senior leaders and external stakeholders. This role offers real stretch and development, with opportunities to broaden your remit, deepen your technical expertise and build confidence operating at Group and Board level.
What you’ll be doing
- Board & Committee governance
- Acting as Secretary to the Group Risk Committee and other committees as required
- Preparing agendas, maintaining forward planners and coordinating high-quality meeting packs
- Attending and minuting Board and Committee meetings
- Serving as a trusted point of contact for Committee Chairs and senior stakeholders
- Drafting papers and governance-related content for Board and Committee meetings
- Group & subsidiary governance
- Acting as Company Secretary to subsidiary companies, including regulated entities
- Supporting statutory filings with Companies House, the FCA and NSM
- Assisting with director onboarding and induction
- PLC & market-facing activity
- Supporting the drafting of RNS announcements
- Assisting with the preparation of sections of the Annual Report & Accounts
- Supporting AGM preparations, including notices and ancillary documentation
- Working with the Registrar on shareholder matters, dividends and communications
- Share plans & projects
- Owning the day-to-day administration of the Group’s share schemes
- Managing share scheme exercises, grants, vesting and SAYE invitations
- Maintaining the share scheme management system
- Contributing to wider, group-wide governance and transformation projects
What we’re looking for
This role would particularly suit someone who already has solid company secretariat experience and is ready to build greater breadth, autonomy and visibility. You’ll bring:
- Experience in a Company Secretariat role within a listed organisation (financial services experience is beneficial)
- Confidence minuting Board or Committee meetings at Group level
- Good working knowledge of the Companies Act and listing requirements
- Strong relationship‑building skills and confidence working with senior stakeholders
- A proactive, organised and pragmatic approach, with the ability to work at pace
- High levels of discretion, judgement and emotional intelligence
Qualifications & systems
ICSA Grad / ACG (or equivalent). Familiarity with systems such as Board Intelligence, Sharetrack and Insidertrack is desirable.
