We are seeking a hands‑on legal counsel who will provide execution and delivery for a rapidly scaling fintech. The successful candidate will have a wide remit and will play a crucial role in delivering successful outcomes for our business and our clients. You will be the in‑house lawyer, executing our daily legal activities and strategy, as well as providing ongoing oversight of regulated activities. The role is incredibly broad based, working across the world. You will be required to have a dynamic approach, a natural affinity to thrive in a very fast‑paced global organisation, and the ability to manage multiple priorities and deliverables.
Key Responsibilities
- Corporate Matters
- Corporate advice and management of transactions: corporate governance, global corporate structure, board matters and fundraising
- Maintain all company secretarial records and complete all necessary company filings in the UK and oversee filings in other locations
- Manage and advise on corporate matters related to external investors in the company and liaise with external lawyers on corporate transactions in particular, funding rounds and external shareholder arrangements
- Manage and oversee all 3rd‑party legal and compliance vendors and perform annual due‑diligence reviews
- Prepare necessary documents needed in connection with corporate transactions
- Attend and minute board meetings of the UK holding company
- Provide oversight of governance activities of overseas entities
- Oversee the incorporation and management of any group subsidiaries and branches and liaise with local external counsel and local compliance support providers
- Draft and agree any NDA agreements required by the group
- Draft and manage inter/intra‑company service level agreements
- Compliance and Governance
- Serve as a standing member of the Risk Committee
- Assist with the design, implementation and enhancement of internal compliance and governance policies and processes, including attending certain committee meetings
- Oversee annual review of group policies and procedures
- Contract Management
- Manage all commercial contracts and third‑party vendor contracts
- Manage Software as a Service (SaaS) and technology platform agreements
- Maintain standard distribution agreements and distributor pack templates
- Review all third‑party contracts, client engagement letters, and SLAs to ensure they align with company policies
- Regulatory Matters
- Review and assist with any regulatory applications in the UK, Europe and APAC
- Oversee relationship with regulatory hosting partners who provide regulatory cover
- Obtain advice on any financial promotion issues both in the UK and overseas
- Review regulatory returns
Experience
- UK qualified lawyer with at least 5‑7 years PQE within a financial services firm, or at a law firm supporting financial services
- Strong experience in UK company law, NDAs, and company secretarial duties
- Experience with commercial contract management (vendors and service providers)
- Knowledge of shareholder agreements and fundraising
- Experience overseeing and coordinating 3rd‑party legal partners
- Experience working, or supporting clients, within the FCA regulatory environment
- European/APAC regulatory experience is a plus
- Additionally, candidates who can demonstrate experience in some or all of the following areas will be highly desirable: SaaS, employment law, tax, and regulatory compliance including MiFID
