Our client, a market-leading US law firm, is seeking a 2–6 PQE Associate to join its highly regarded US Capital Markets team in London. The team advises on sophisticated cross-border transactions involving debt raising, acquisition financings, refinancings, liability management exercises and balance-sheet optimisation projects. The work is international, fast-paced and highly collaborative, with regular interaction across finance, corporate and restructuring teams. This is an exceptional opportunity to work on some of the most sophisticated High Yield and leveraged finance-capital markets transactions in Europe.

Position Overview

As a US Capital Markets Associate, you will advise on a broad range of debt capital markets and acquisition financing transactions, with a particular focus on Rule 144A / Reg S bond offerings, sponsor-backed financings and liability management exercises. The successful candidate will gain exposure to both issuer and underwriter mandates while working closely with a high-calibre team on complex cross-border transactions.

Responsibilities
  • Advise issuers, underwriters and private equity sponsors on High Yield bond offerings and US debt capital markets transactions.
  • Support acquisition financings for leveraged buyouts and strategic M&A transactions.
  • Work on integrated financing structures involving High Yield bonds, term loans, revolving credit facilities and intercreditor arrangements.
  • Assist with refinancings, recapitalisations and balance-sheet optimisation projects.
  • Advise on liability management transactions, including exchange offers, tender offers, consent solicitations and maturity extensions.
  • Provide analysis of covenant packages, securities law considerations and cross-border financing structures.
  • Coordinate multi-jurisdictional transactions involving European issuers and US investors.
  • Manage transaction processes, drafting and client coordination across complex international matters.
  • Develop strong client relationships and work directly with leading market participants.
Requirements

England & Wales or US qualified lawyer with 2–6 years' PQE. Experience in US Capital Markets, High Yield, Debt Capital Markets, Leveraged Finance or US Securities transactions. Experience advising on High Yield bonds, Rule 144A / Reg S offerings, acquisition financings or related cross-border financing transactions. Excellent academic credentials. Confidence working on complex cross-border matters within a fast-paced international environment.
