A highly ranked and well-respected Corporate Real Estate practice is seeking an Associate to join its growing London team. The practice advises leading private equity funds, institutional investors, investment managers, developers and real estate platforms on sophisticated and high-value transactions across the full real‑estate asset spectrum. The team sits at the intersection of real estate, private equity and corporate M&A, acting on complex cross‑border and UK transactions. Work includes fund‑driven real estate acquisitions and exits, joint venture structuring, platform investments, recapitalisations, and portfolio‑level M&A involving logistics, residential, hospitality, retail parks, office and alternative real‑asset classes.
What to expect:
- Formation and structuring of real estate joint ventures between private equity sponsors, institutional investors, developers and operators.
- Real estate private equity platform investments, including the acquisition and disposal of large‑scale logistics, residential and mixed‑use portfolios.
- Cross‑border acquisitions and disposals of real estate assets, holding companies and fund‑owned corporate structures.
- Cornerstone investments by global and pan‑European real estate funds into sector‑specific vehicles (e.g., retail parks, industrial outdoor storage, multifamily).
- Equity recapitalisations of real estate development companies and operating platforms.
- Minority and majority stake acquisitions in real estate investment managers, developers and credit platforms.
Responsibilities:
- Draft, negotiate and review a wide range of documents, including SPA/asset purchase agreements, joint venture/shareholder agreements, fund/co‑investment documentation, development agreements and ancillary corporate documents.
- Assist on M&A‑style real estate transactions, including acquisitions and disposals of property‑owning companies and real estate operating platforms.
- Support clients on complex joint ventures and co‑investment structures, including governance arrangements and ongoing investment management.
- Work closely with senior lawyers and partners on transaction strategy, negotiation and execution.
Requirements:
- England & Wales qualified solicitor with 2‑6 years of experience within a US, Magic/Silver Circle firm in London.
- Strong experience in at least one of the following: corporate real estate, real estate private equity, real assets M&A, joint ventures, fund/RE investment structures.
- Familiarity with corporate and real estate transaction documents, fund or JV governance arrangements, and deal structuring.
- A strong technical foundation with excellent drafting, analytical and negotiation skills.
- Experience leading/mentoring teams is desirable.
