Rutherford is partnered with a leading global law firm looking to expand its Corporate Insurance team in London.
We are seeking a 3–5 PQE Corporate Insurance Lawyer to join a highly experienced team advising on complex transactions, M&A, reinsurance, and insurance platform formations.
This role offers exposure to top-tier clients and high-profile deals in the insurance and reinsurance sectors.
Key responsibilities
- Advise on public company M&A, including mergers, going-private transactions, spin-offs, tender offers, and exchange offers.
- Support reinsurance transactions and carve-outs of insurance and reinsurance businesses.
- Assist with renewal rights transactions, formation of insurance platforms, and redomestications of insurance companies and holding companies.
- Advise on demutualisations, sponsored demutualisations, and private asset/stock purchases.
- Provide corporate governance and corporate preparedness advice, including special committee representations and proxy contest defence.
- Work closely with partners and clients across strategic investments, joint ventures, and corporate governance matters.
