Delighted to be supporting one of the most prestigious law firms in London (c1000 headcount including Partners) in recruiting for a Private Funds Associate (1-4 Yrs' PQE).
The Private Funds practice consists of seven Partners, two Senior Counsels, three Senior Associates, 13 Associates, five Trainee Solicitors, 13 Paralegals and one Senior Knowledge Lawyer. One of the broadest based Private Funds practices in London, the work covers the entire spectrum of private funds work from private equity, private debt, venture capital, infrastructure, real estate and hedge funds through to regulated funds. Their major areas of focus at the moment is on private equity managers, private debt, institutional asset managers and VC managers. The team are also doing a lot of interesting work on hybrid funds (blending closed-ended funds with open-ended funds) and for alternatives managers looking to attract capital from DC pension funds and the mass-affluent.
Key responsibilities:
- Assisting with initial regulatory and tax structuring and jurisdictional analysis
- Acting as lead associate on private fundraising
- Drafting and negotiation of fund documentation including limited partnership agreements, side letters, subscription agreements, and offering documents
- Providing and coordinating international guidance on regulatory matters affecting private funds
- Advising on incentive arrangements
- Advising sponsors on their business and ongoing operational matters, including their global structuring, regulatory compliance, incentive and remuneration arrangements, governance and internal policies
- Supporting other practice groups on the private funds aspects of wider transactions, including M&A transactions and secondaries
What we are looking for in a candidate:
- 1-4 Yrs' post qualification experience from a leading institutional private funds practice or in-house at a private capital manager
- Experience primarily focused on private funds (private equity, private debt, venture capital, infrastructure and real assets)
- A genuine commitment to develop professional and legal skills and the profile of the team
- Articulate and confident to deliver at the highest standard within a team of highly competent associates
