PLEASE READ THESE TERMS CAREFULLY BEFORE YOU USE OUR SOFTWARE

This ”software as a service” subscription agreement (Subscription or Terms) is a legal agreement between a Subscriber, or the company you represent (Subscriber or you), and Robin AI Limited, a company registered in England and Wales under company number 11400135, whose registered office is at 10 Devonshire Square EC2M 4YP (Robin AI, us or we) for the use of the Robin AI Software (Software).

By using our Software, you confirm that you accept these Terms and that you agree to comply with them. If you do not agree to these Terms, you must not use our Software. To contact us, please email support@robinai.com. If you register for a free trial, your use of our Software will also be governed by these Terms.

AGREED TERMS OF USE

1. Scope of Subscription and Restrictions on Use

  1. 1.1 You must be of legal working age, in the jurisdiction where you access our Software, to consent to these Terms and to use our Software.
  2. 1.2 We will, during the Subscription, provide the Software upon these Terms.
  3. 1.3 In consideration of you agreeing to abide by these Terms, we hereby grant you a non-exclusive, non‑transferable right and licence, without the right to grant sub-licences to use our Software until your access is terminated in accordance with clause 7.
  4. 1.4 Subject to clause 1.10 you may, at any time, purchase licenses additional licenses for Authorised Users within your organisation. “Authorised User” means the number of users authorised within an organisation, to access the Software.
  5. 1.5 If you purchase a Subscription, either on behalf of yourself or an Authorised User, you will be granted access to the Software on the basis of a one month rolling contract, which will automatically renew, but may be terminated at any time, in accordance with clause 7.
  6. 1.6 You may: (a) install or download and access the Software via the internet and the Software is for your business operations only; (b) receive and use any free supplementary software code or update of the Software incorporating \”patches\” and corrections of errors as may be provided by us from time to time.
  7. 1.7 We will use commercially reasonable endeavours to make the services available 24 hours a day, seven days a week and we may, but have no obligation to, update the Software from time to time without prior notice to you.
  8. 1.8 Free Trial: If you use our Software as part of a free trial, we will make our Software available, free of charge, for the limited period stated when you sign up to access our Software on a “trial basis”. If you elect to upgrade your Subscription to our paid subscription service, the payment terms set out in clause 8 will apply.
  9. 1.9 During the free trial, you acknowledge that any documentation or data that you upload to our Software may be irretrievable, unless you upgrade to a paid subscription service before the end of the then current term. If you do not wish to upgrade, export any documentation or data you have uploaded.
  10. 1.10 Authorised Users: In relation to the Authorised Users, you undertake that (a) the maximum number of Authorised Users shall not exceed the number of licences purchased; (b) you will not allow any licence to be used by more than one individual Authorised User unless reassigned in its entirety; (c) you are responsible for all acts and omissions of each Authorised User and any use of the Software using each Authorised User\’s access credentials.
  11. 1.11 Restrictions on Use: You shall not (a) copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Software; (b) de‑compile, reverse engineer or disassemble; (c) upload or transmit unlawful or harmful material; (d) access the Software to build a competing product or develop related technology; (e) license, sell, rent, lease, transfer, or commercially exploit the Software to third parties; (f) obtain access to the Software beyond what is provided.
  12. 1.12 You must comply with the Acceptable Use Policy when uploading content (robinai.com).
  13. 1.13 You shall procure, at your own cost, the required enabling and third‑party software to access and use the Software.
  14. 1.14 Unless otherwise stated, the Software may be provided from more than one jurisdiction at any time.
  15. 1.15 We do not warrant cloud services are fit for purpose, error-free or uninterrupted; we are not liable for data transfer limitations or delays over communications facilities.

2. Uploading content to our site and use of your data

  1. 2.1 By using our Software you will be required to upload your content to our platform. Please ensure you have the necessary rights and that the content is lawful and compliant with these Terms.
  2. 2.2 We use AI/ML technologies to develop and improve our Subscriber experience and for the performance of the Software. We will process and store your inputs and outputs for training our models.
  3. 2.3 You retain ownership in uploaded content, but grant us a limited licence to use, store, analyse and copy that content to provide the Software and related services. We may use aggregated or de-identified data to improve the Software and for development, diagnostic, and corrective actions.
  4. 2.4 We encourage redaction of personal data. We will not use AI for automated decision making on personal data, and we will not disclose unredacted personal data to unauthorised third parties.
  5. 2.5 We will protect confidential information and may disclose it to our personnel, subcontractors or advisers as needed, or as required by law or regulators.

3. Intellectual property

  1. 3.1 All intellectual property rights in the Software belong to us and/or our third party suppliers; rights are licensed, not sold, to you for use under these Terms.
  2. 3.2 Except as stated, these terms do not grant patent, copyright, database, trade secrets, or trademark rights.
  3. 3.3 We have the rights necessary to grant the rights in these Terms.
  4. 3.4 The \”Robin AI\” name and logo are registered trademarks of Robin AI Limited. You are not permitted to use them without approval.

4. How we may use your personal information

  1. 4.1 You grant us a non‑exclusive license to copy, process, store, transmit and use your data to provide the Software.
  2. 4.2 Our Privacy Notice at robinai.com/privacy-policy explains who we are, how we process your data, and your rights.

5. Warranties and Limitation of Liability

  1. 5.1 Warranties: (a) The Software may not be uninterrupted or error-free; (b) you are responsible for selecting the Software to achieve intended results; (c) outputs are not legal advice; (d) we disclaim implied warranties; (e) software is provided on an \”as is\” basis.
  2. 5.2 Limitation of liability: (a) you are responsible for results and for outputs; (b) other warranties are excluded; (c) the Software is provided on an \”as is\” basis.
  3. 5.3 We warrant we have necessary licences and permissions for performance.
  4. 5.4 We are not liable for business losses if you use the Software for resale or commercial purposes.
  5. 5.5 We do not exclude liability where unlawful to do so (death or personal injury from negligence, fraud, etc.).
  6. 5.6 You are responsible for IT security measures; use of virus protection is recommended.
  7. 5.7 You acknowledge the Software is not tailored to your individual requirements.

6. Application of consumer law

Our Software is intended for use by businesses and not for general consumers. To the maximum extent permitted by law, consumer laws do not apply when using our Software. If consumer laws do apply and cannot be lawfully excluded, our liability is limited to replacement, repair or resupply of the Software.

7. Term and Termination

  1. 7.1 This subscription shall, unless terminated, commence on the date you subscribe and continue monthly, unless you cease usage or termination occurs under these terms.
  2. 7.2 We may terminate immediately for material breach not remedied within 5 days of notice.
  3. 7.3 Upon termination: (a) rights cease; (b) you and any Authorised Users must cease activities; (c) you must delete or return all copies of the Software and certify destruction if requested.

8. Payment Terms

  1. 8.1 Paid subscriptions require payment of all fees for licences in accordance with published prices at the time of payable.
  2. 8.2 Payments are electronic and non‑refundable; payments are subject to preauthorization.

9. Other important terms

  1. 9.1 Communication: Notices to support@robinai.com.
  2. 9.2 We will contact you by email for notices.
  3. 9.3 We may transfer rights and obligations; we will inform you and ensure rights are preserved.
  4. 9.4 This agreement does not grant rights under the Contracts (Rights of Third Parties) Act 1999.
  5. 9.5 A delay in enforcing a right does not waive it.
  6. 9.6 Governing law: English law; disputes in English courts.
