Role Overview

We are looking for a Paralegal who specialises in Contract Review and Company secretarial activities to join a proactive legal team with a passion for innovation. The Paralegal will play an important role in supporting legal operations within the organisation. This position involves meticulously examining legal documents, particularly contracts, and ensuring compliance with legal regulations and internal policies. Additionally, the role involves assisting with various corporate paperwork tasks, such as entity formations, filings, and other administrative duties.

Responsibilities

  • Analyse contracts to identify legal issues, risks & obligations.
  • Review, draft, negotiate a wide range of commercial contracts (e.g., NDAs, services & consultancy agreements, partnership agreements, reseller agreements, outsourcing & technology contracts, subcontracts & licensing agreements) with private customers and suppliers as necessary.
  • Provide legal advice to all UK, French and Benelux Reply companies on broad topics including ITC, corporate & employment law, compliance, privacy, IP, and commercial matters.
  • Stay updated on relevant laws & regulations, implementing them into company practice.
  • Summarize & communicate legal findings to the legal team & relevant stakeholders.
  • Drafter of Board Resolutions, Shareholders' resolutions & other corporate secretarial documents for UK Reply Companies.
  • Assist with corporate governance matters, legal entity formations, dissolution, maintenance of corporate records.
  • Coordinate with internal departments & external stakeholders to ensure timely completion of paperwork & compliance requirements.
  • Develop internal guidelines, toolkit & templates on legal matters & contracts.
  • Assist in monitoring compliance with legal & regulatory requirements, identify risks & define mitigation strategies, strategise with internal partners for win‑win solutions or appropriate legal action.
  • Collaborate with other members of the legal team & other Reply Group functions to drive compliance with internal policies, processes & approvals.
  • Assist in developing training materials & provide training to businesses on legal topics, contract‑related policies, procedures & best practices.

Qualifications

  • Bachelor’s degree in Paralegal Studies, Legal Studies, or related field.
  • Certification as a paralegal is preferred.
  • Proven experience (3‑5 years) working as a paralegal focusing on contract review & company secretarial matters.
  • Strong understanding of contract law & corporate governance principles, excellent analytical & research skills.
  • Ability to prioritise tasks & manage multiple deadlines effectively; work proactively & independently on multiple projects under tight timeframes.
  • Comfortable engaging with senior management, ability to build & maintain strong relationships.
  • Exceptional attention to detail & organisational skills; flexible & adaptable to fast‑paced, ever‑changing environment.
  • Excellent written & verbal communication skills.
  • Ability to work collaboratively in a team environment.
  • Strong sense of integrity & discretion when handling sensitive information.
