Your Role: As our General Legal Counsel, you'll be at the center of our legal operations for the global Re-Leased business, providing strategic legal guidance across the organization. From supporting our leadership team and Board of Directors to ensuring compliance with international regulations, this role covers a broad and dynamic range of responsibilities across legal operations, governance, data and security, and risk management.

Your Responsibilities:

  • Oversee all legal operations, including policy development, document management, and strategic initiatives to improve efficiency.
  • Provide proactive legal advice and support to the Executive Team and Board on a variety of matters including compliance with the Companies Act 1993 and other relevant regulatory frameworks.
  • Manage board administration, including approvals, shareholder resolutions, and ESOP reporting and filings and oversee beneficial ownership filings and cap table management.
  • Draft, review, and negotiate a wide range of contracts, including SaaS agreements, vendor and supplier contracts, partnership agreements, and NDAs.
  • Sales contracts and deal desk support, including commercial redlines and negotiation, along with terms and conditions, ensuring alignment with global standards.
  • Support corporate structure considerations, including mergers, acquisitions, and funding activities.
  • Partner with IT and security teams to ensure legal oversight on data and cybersecurity initiatives including GDPR, CCPA, and other regional privacy laws.
  • Advise on employee disputes and workplace matters, ensuring compliance with employment laws in relevant regions.
  • Responsible for ensuring Re-Leased is mitigated against any potential litigation across our global operations, specifically in the USA, working with external counsel as needed.
  • Protect and manage the company's IP portfolio, including trademarks and proprietary software rights.

Your Experience:

  • Licensed and qualified to practice law in either New Zealand, Australia, the UK, or the US.
  • Minimum of 5 years of experience in a legal role, ideally in SaaS or technology sectors.
  • Proven experience in commercial law, contract management, data privacy, and corporate governance.
  • Strong negotiation skills and the ability to manage complex legal issues across multiple jurisdictions.
  • A practical, business-minded approach to legal solutions, balancing risk with growth opportunities.
