On behalf of a well-established and highly regarded accountancy practice, we are seeking an experienced Company Secretary to provide maternity cover within the firm's corporate services team. The successful candidate will be responsible for managing a portfolio of company secretarial clients, ensuring compliance with statutory obligations and delivering a professional, efficient, and client-focused service. Key Responsibilities Company Secretarial Services Manage a portfolio of company secretarial clients. Prepare and submit Companies House filings, including: Confirmation Statements Changes to Directors and Secretaries Registered Office changes Share allotments and transfers Persons with Significant Control (PSC) updates Changes to company articles and constitutional documents Maintain statutory registers and company records. Prepare board minutes, written resolutions, and shareholder resolutions. Assist with company incorporations and company formations. Compliance Corporate Governance Ensure client companies remain compliant with the Companies Act and other relevant legislation. Monitor filing deadlines and maintain compliance calendars. Advise clients on routine company secretarial matters. Conduct company record reviews and rectify Companies House discrepancies where necessary. Client Management Act as a key point of contact for company secretarial enquiries. Liaise with clients, accountants, solicitors, banks, and regulatory bodies. Build and maintain strong client relationships through professional and responsive service. Practice Support Work closely with the accounts and tax teams to ensure seamless service delivery. Support onboarding of new corporate clients. Assist with AML and client due diligence procedures where required. Contribute to the development and improvement of internal processes and procedures. Skills Experience Essential Previous experience within an accountancy practice, company secretarial firm, legal practice, or corporate services environment. Strong knowledge of UK company law and Companies House requirements. Experience preparing and filing company secretarial documents. Excellent organisational skills and ability to manage multiple deadlines. Strong written communication and drafting skills. High attention to detail and accuracy. Proficiency in Microsoft Office applications. Desirable Experience using company secretarial software such as Inform Direct, Iris Company Secretarial, Blueprint OneWorld, or Diligent Entities. CGI qualification or working towards qualification. Familiarity with AML and compliance requirements within professional services firms.
