Position Summary

Ralliant Law & Compliance is seeking an experienced Legal Contract Administrator to support the EMEAI region.

The role will be a key member of the global International & Commercial Legal team, with primary responsibility for reviewing, negotiating, and administering various regional commercial contracts using approved templates and negotiation playbooks.

The Legal Contract Administrator will also support EMEAI subsidiary management, compliance-related initiatives, and legal operations projects.

Key Responsibilities

  • Commercial Contracting
  • Review, redline, negotiate, and manage routine commercial agreements, including customer sales agreements, terms and conditions of sale, supplier and procurement agreements, services agreements, NDAs, distributor, reseller, channel partner, and other business-facing agreements, using approved templates, negotiation playbooks, and escalation guidelines.
  • Apply negotiation playbooks, clause guidance, escalation frameworks, templates and fallback positions for key terms.
  • Support contract lifecycle management activities, including intake, matter triage, execution, filing, renewals, amendments, approvals, obligations tracking and contract records management.
  • Identify and escalate higher-risk or material legal matters to counsel or other stakeholders when appropriate.
  • EMEAI Subsidiary Management
  • Coordinate subsidiary management and corporate governance activities for EMEAI entities, in partnership with Legal, Finance, external counsel, corporate secretarial providers and other stakeholders.
  • Support annual corporate maintenance requirements, including board and shareholder approvals, powers of attorney, corporate registrations, filings, records and related documentation using approved templates and coordination with external counsel and stakeholders.
  • Provide administrative and coordination support for integrations, reorganizations and other strategic initiatives affecting EMEAI legal entities in partnership with counsel and other stakeholders.
  • Maintain accurate entity records and support timely reporting of subsidiary governance actions, deadlines and open items.
  • Legal Operations
  • Support implementation and continuous improvement of legal intake and self-service tools, CLM solutions, AI contract review tools, Share Point knowledge management, workflow automation and other legal technologies.
  • Coordinate and support legal operations EMEAI projects focused on efficiency, standardization, digital transformation and continuous improvement across the International & Commercial Legal function.
  • Track legal KPIs, matter status and contracting metrics, and recommend process or system improvements to improve service delivery and scalability.
  • Administrative & Regional Support
  • Serve as a key regional legal point of contact, triaging requests and helping internal clients navigate Legal and Compliance resources and directing matters to the appropriate subject matter experts.
  • Provide practical communications to internal stakeholders on matter status, contract requirements, next steps and process expectations.
  • Support attorneys on other legal services as needed, including employment, disputes, procurement, compliance, policy, special projects and broader Ralliant Law & Compliance initiatives.
  • Assist with language, translation, document formatting, records management and other administrative support as needed.

Qalifications

  • Associate’s or Bachelor’s degree.
  • Several years of experience in commercial contracting, contract administration, legal operations, sales operations, procurement, compliance, or an in-house legal department.
  • Familiarity with contracting and commercial processes.
  • Experience or strong interest in supporting multinational organizations and working across multiple jurisdictions, preferably within EMEAI.
  • Familiarity with corporate governance, subsidiary management and entity maintenance processes preferred.
  • Experience or eager to learn and build experience with legal operations technology, including CLM platforms, Microsoft 365, Share Point, Power BI, legal intake tools and AI-based contract review tools preferred.
  • Italian language proficiency would be considered a strong advantage; additional EMEAI language skills are a plus.
