Role Overview

We are seeking a proactive In-House Lawyer – Commercial to join our legal team. In this role, you will be instrumental in managing the legal aspects of our sales processes with clients and contracts with vendors, ensuring compliance and efficiency across global markets. Your primary responsibility will encompass drafting and negotiating contracts (NDAs, MSAs, SoWs, DPAs,SaaS agreements, SLAs). You may also have the opportunity with supporting due diligence, and assisting with corporate governance, company secretarial tasks and all other matters that arise in the day of an in-house lawyer. This is a unique opportunity to gain exposure to the fast-evolving drug-safety and healthcare technology industries while developing your legal expertise in a global context.

Key Responsibilities

Commercial Contract Support

  • Contract Drafting and Negotiation: Draft, review, and negotiate a range of contracts including Non-Disclosure Agreements (NDAs), Master Services Agreements (MSAs), Statements of Work (SoWs), Service Level Agreements (SLA’s), amendments, and Software-as-a-Service (SaaS) agreements. Ensure that terms align with the company’s objectives, escalating where necessary, while addressing client requirements and minimizing risks.
  • Amendments and Renewals: Proactively monitor contract milestones to avoid lapses and ensure continuity.
  • Pre-Contract Support: Assist sales and commercial teams during the pre-contract stage for client engagements, including reviewing client-provided terms, responding to RFPs and RFIs, and addressing legal and compliance-related queries.
  • Risk Identification and Mitigation: Identify potential risks in sales contracts, propose solutions, and escalate issues as necessary to ensure informed decision-making.
  • Cross-Functional Collaboration: Work closely with sales, finance, and operations teams to align legal terms with pricing, deliverables, and operational capabilities.
  • Template Development and Maintenance: Assist in creating and updating templates for MSAs, SoWs, SaaS agreements, and SLAs to streamline processes and maintain consistency in client and vendor dealings.

General Legal Support

Regulatory Compliance

  • Assist privacy team to ensure all agreements comply with applicable data protection laws (e.g., GDPR, HIPAA) and industry regulations.
  • Provide guidance on legal and regulatory risks associated with contracts and business processes.

Company Secretarial Support

  • Maintain corporate records, including board resolutions, statutory filings, and company registers.

Legal Operations

  • Collaborate with cross-functional teams, including sales, commercial, operations, and risk & compliance, to ensure seamless contract processes.
  • Develop and maintain templates, playbooks, and contract management tools to enhance efficiency.
  • Advisory
  • Provide practical legal advice to internal stakeholders on matters related to client and vendor contracts.
  • Legal Research
  • Stay informed about changes in laws and regulations that may impact the company’s operations globally.
  • Dispute Resolution
  • assist in resolving contractual disputes with clients and vendors, aiming for efficient and amicable outcomes
  • Corporate Due Diligence
  • Conduct legal due diligence for corporate activities, including mergers, acquisitions, and strategic partnerships.
  • Support internal teams with the collation and review of relevant legal documents

Qualifications and Skills

  • Education:

Bachelor’s degree in Law (LLB) or equivalent. Admission to practice law in England and Wales is preferred.

  • Experience:

1-5 years of experience in commercial law, ideally involving contracts within the professional services, technology, or life sciences sectors.

  • Skills:

Technical Skills: In-depth understanding of contract law, with specific experience in NDAs, DPAs, SaaS agreements, and vendor contracts. Familiarity with global data protection laws (e.g., GDPR, HIPAA) and regulatory frameworks. Proficiency in legal technology, such as contract lifecycle management (CLM) tools, is a plus.

Soft Skills: Strong negotiation and interpersonal communication skills. Ability to collaborate effectively with cross-functional and international teams. High attention to detail and excellent organizational abilities with ability to manage multiple tasks and deadlines in a dynamic environment

  • Tools:

Proficiency in contract management software and familiarity with Microsoft Office Suite.
