The Company Secretary is accountable for leading QE Facilities' enterprise-wide governance, risk management, compliance and internal assurance framework. As a wholly owned NHS subsidiary, QEF operates within a dual governance environment (Companies Act and NHS system oversight). The post holder ensures full compliance with statutory obligations as a limited company while aligning to NHS governance standards, regulatory expectations and best practice.
Reporting to the Director of Corporate Services, the Company Secretary acts as the principal and independent advisor to the Board, Chair, Non-Executive Directors and Committees, providing expert guidance on governance, risk and compliance.
Main duties of the job include:
- Supporting the Managing Director in discharging Accountable Officer responsibilities while maintaining professional independence and direct access to the Chair and Non-Executive Directors.
- Organisation-wide accountability for the integration and effectiveness of governance, risk, compliance and assurance systems, ensuring a coherent and high-performing framework across the organisation.
- Providing strategic leadership across corporate governance and Board effectiveness.
- Risk management and the Board Assurance Framework (BAF).
- Regulatory compliance and statutory obligations.
- Internal audit and organisational assurance.
- Legal and constitutional compliance.
QE Facilities (QEF) is a wholly owned subsidiary company of Gateshead Health NHS Foundation Trust (GHNT), based in the North East of England. We provide a range of non-clinical services to GHNT and other NHS organisations.
