QC Legal are calling all Associates, Senior Associates, and Legal Directors in the Corporate sector. We have exciting opportunities based in London with a leading and award-winning international commercial law firm. We are keen to speak with experienced Corporate Lawyers with a minimum of 5 years PQE in M&A transactions. ROLE
- Your role will involve working in our client’s Corporate Health & Social Care Team.
- Work closely with the wider corporate team on a range of matters involving mergers and acquisitions for funders, investors, operators, and developers within the independent health & social care sector.
- Involve yourself in general corporate work including corporate restructurings, shareholders agreements, joint ventures, and limited liability partnership agreements, specifically drafting the principal documents.
- Lead and support due diligence exercises, data room reviews, or management and disclosure processes (whether on the buy side or sell side).
- Prepare and finalise disclosure letters and supporting bundles.
- Support and review investment documents, either acting for investing institutions or management teams on PE-backed transactions or placing agreements.
- Draft and negotiate terms of transaction ancillary documents (such as completion board minutes, deeds of waivers, resignation letters, Companies House forms, etc.).
- Assist with business development and tenders.
- Enjoy a high degree of autonomy and client involvement, with encouragement and support to help drive the business forward.
REQUIREMENTS
- English qualified lawyer.
- Minimum 5 years experience completing M&A transactions.
- Strong technical skills and a willingness to learn.
- Excellent communication skills both written and verbal.
- Excellent organisational skills with the ability to prioritise.
- The ability and experience of independently managing a caseload providing sound commercial advice.
