Our team advises corporate clients, private equity clients and investment funds on the most valueâcritical aspects of SPAs, including equity price negotiations and the drafting of key accounting provisions. Our work spans completion accounts, locked box mechanisms, leakage reviews, earn-out provisions, and disputes, giving clients the confidence to protect and create value at the decisive moments of a transaction.
As a Director, you will play a lead role in steering negotiations, influencing decisionâmakers, and shaping outcomes that matter most to our clients.
What your days will look like:
- Client leadership: advising C-suite executives, private equity investors, and their advisers on complex SPA mechanisms and commercial negotiations.
- Transaction expertise: leading the review and drafting of SPA accounting provisions, completion accounts, leakage claims, and disputes.
- Project leadership: managing multiple high-value projects simultaneously, ensuring quality, timeliness, and risk management.
- Team leadership: coaching, mentoring, and developing junior colleagues, building a strong pipeline of SPA specialists.
- Business development: originating opportunities, leading pitches, and building trusted relationships with clients and intermediaries.
- Practice development: helping shape PwC's SPA methodology, tools, and market positioning, ensuring we remain the market leader.
The role is for you if:
- Must possess an ACA/ACCA/ICAS/CPA qualified (or international equivalent).
- Significant experience in Transaction Advisory / M&A, with a focus on SPA or completion accounts work.
- A proven track record of leading complex projects and advising at senior levels.
- Strong commercial acumen with the ability to identify key value levers and negotiation tactics.
- Experience in business development, client origination, and practice growth.
