Deal Manager

As a Contracts/Deal Manager, you're a shrewd negotiator drawn to the world of cutting-edge technology and the intellectual property that fuels it.

The Deal Manager will need to be a self-starter with an entrepreneurial mindset who is willing to try new ways of doing things, initiate and drive outcomes taking responsibility and accountability.

In this client-facing role, you will lead the engagement with strategic clients on all contractual matters, acting as a SME on company policy, product licensing, and deal engagement.

Collaborating with sales, finance, legal, customer support, product development, marketing, and operations you will drive efficiency and org accountability through contracting process.

Reporting into the Head of Deal Management, you will leverage your extensive contracting experience gained in developing and negotiating complex software, cloud, services, and partnership agreements to promote and implement pragmatic solutions to client and partner relationships.

What you will do

  • Drafting and negotiating various forms of simple to complex customer agreements including Saa S terms of service, software licenses, professional services agreements, transfer agreements, channel agreements, renewals, and ancillary relationship agreements.
  • Identify key risks, analyzing the most significant business, financial, and legal concerns and coordinate with company SMEs to deliver pragmatic responses and mark‑ups to client drafts.
  • Lead the stakeholder management of various internal Intapp teams engaged on the deal and the customer stakeholders for Intapp's strategic engagements.
  • Maintain clear guidelines, policy change requests, and training for approvals with process controls to address key risks.
  • Participates in the approval process to support informed decisions.

Complies with audit, financial (e. g., Sarbanes‑Oxley), and system requirements and assists in resolving post-execution non‑standard contract modification requests and disputes.

  • Acts as trusted advisor to senior sales and business leaders in assigned areas of responsibility and work with them to prioritize deal support and implement company objectives to focus on high value activities.

What you will need

  • Deep practical experience of contract management in the IT and/or business services market with a detailed understanding of key legal and commercial principles and obligations found in complex software, cloud, and services contracts.
  • Excellent communication skills, both written and verbal, with strong executive presence capabilities.
  • Proven ability to build strategic relationships internally /with client whilst working virtually.
  • Flexible, team player able to adapt your thinking / approach and with ability to balance process, compliance and risk management activities while ensuring the business is successful.
  • Nuanced and sophisticated client‑facing skills, with ability to identify and negotiate a fair deal and manage difficult/ tense situations.
  • Ability to influence different functions and geographies and build consensus at senior levels where lines of authority may not be direct, both inside and outside of the company.
  • Capable of presenting or escalating issues effectively to high‑level sales and business executives.
  • Proactive problem identifier & solver, able to think laterally and work independently using your own initiative, handling and prioritizing multiple activities & engagements.
  • Experience in providing guidance and leadership to others, and navigating [virtually] in a large, complex, multi-location & time‑zone, matrix management‑based organization.
  • Minimum with Post Grad ( Law, Finance, Business or Commers an advantage ): 2+ years of experience in the Software, Cloud, and Professional Services Industry
  • Minimum with Bachelor: 3+ years of experience in the Software, Cloud, and Professional Services Industry
  • Minimum without Bachelor: 5+ years of experience in the Software, Cloud, and Professional Services Industry
  • Strong negotiation and relationship management skills, and commercial awareness.
