About the team
The RELX PLC Company Secretariat is a London-based team responsible for governance, compliance and shareholder administration, as well as supporting the effective operation of the Boards and their Committees.
The team works closely with Company Secretarial colleagues in Delaware, Amsterdam and Delhi.
About the role
To support the delivery of core company secretarial and corporate governance services at RELX, ensuring compliance with statutory and regulatory requirements, and assisting the Company Secretariat team in delivering effective governance and compliance across all areas of the function.
Responsibilities
- UK and Business areas entity support: Manage corporate governance and compliance activities, including statutory records, filings, board meetings, statutory accounts, and regulatory documentation, ensuring adherence to UK company law and internal policies.
- Lead entity management and corporate transactions: Oversee Diligent Entities administration, notarisation and legalisation processes, entity rationalisation projects, acquisitions, divestments, and stakeholder coordination with Finance, Tax, M&A teams, external advisors, and Companies House.
- Primary contact for auditors and business stakeholders: Provide governance advice, manage compliance enquiries, and support strategic and ad‑hoc governance initiatives.
- PLC administration: Manage PLC governance, share capital administration, and regulatory compliance, oversee RNS announcements, market disclosures, block listings, share register activities, and regulatory filings with HMRC, Companies House, and financial regulators.
- Maintain and reconcile PLC share capital records: Collaborate with Equiniti, Treasury, Finance, Share Plans, and JPMorgan to support employee share schemes, shareholder governance, and reporting requirements.
- Support strategic governance and company secretarial initiatives: Monitor legislative and governance developments, drive compliance improvements, and assist with governance projects across the Group.
- Annual General Meeting (AGM) support: Assist the Senior Assistant Company Secretary and Head of Secretariat with delivery of the AGM and event support as required, and be accountable for all post‑AGM regulatory obligations.
- Annual
Report: Support PLC governance, reporting and regulatory compliance, lead preparation and verification of the Annual Report and 20‑F disclosures, including Corporate Governance, Directors’ Report and Related Undertakings sections, ensuring robust controls and accurate regulatory reporting.
- Governance process improvement: Manage key Secretariat controls, enhance subsidiary governance processes, oversee external service providers, mitigate risk, and deputise for the Senior Assistant Company Secretary on strategic governance initiatives.
Requirements
- Qualifications: Partially qualified and interested in pursuing the Chartered Governance Qualifying Programme.
- Experience of working in a FTSE listed company secretariat is a plus.
- Working knowledge of the legal, regulatory, and corporate governance framework applying to listed companies is desirable, but not essential.
- Skills/Experience: Excellent organisational skills with good attention to detail and a high level of accuracy; good written and verbal communication skills; proven ability to think and work independently and prioritise workload with minimal supervision; proficient in Microsoft Word, Excel, Power Point and Outlook; willingness to learn Power Automate and Co‑Pilot Agents.
