Fractional and Interim General Counsel - Private Equity

We are partnering with a range of leading private equity firms to support their portfolio companies in relation to their legal, governance and regulatory needs. As these businesses scale, transform, or prepare for exit, the need for agile, commercially minded legal professionals has never been greater.

We are building a bench of senior legal and compliance professionals who are open to interim and fractional engagements across a variety of sectors and growth stages. These roles are ideal for individuals who thrive in fast-paced, change-oriented environments and can bring strategic legal insight to PE-backed businesses.

Typical Responsibilities May Include:

• Acting as General Counsel or Head of Legal for a portfolio company during periods of transition, growth, or restructuring.
• Advising on M&A transactions, debt refinancing, and exit readiness (e.g. trade sale, IPO).
• Leading or supporting contract negotiations, commercial risk management, and dispute resolution.
• Designing and implementing legal operations, governance frameworks, and compliance programs.
• Supporting regulatory engagement, particularly in highly regulated sectors (e.g. financial services, healthcare, energy).
• Collaborating with C-suite and PE sponsors to align legal strategy with commercial objectives.
• Managing external counsel relationships and legal budgets.

Ideal Profiles:

• Experienced General Counsel, Head of Legal, or Chief Compliance Officer with a track record in PE-backed or high-growth businesses.
• Comfortable operating in ambiguous, fast-changing environments and providing pragmatic, business-first legal advice.
• Available for interim, fractional, or project-based work.
• Strong stakeholder management skills, with the ability to influence at board and investor level.
• Sector experience in areas such as technology, healthcare, financial services, consumer, or industrials is highly valued.
