We’re supporting a well-established organisation in the land development sector that is looking to appoint an experienced Company Secretary on a 9–12 month contract. Working approximately 2–2.5 days per week, this part-time role offers a flexible hybrid arrangement with a minimum of one day per week on site in Cambridge, aligned to the Board and committee calendar.

Acting as a trusted adviser to the Chair, Board and Executive, you will lead on corporate governance, statutory and regulatory compliance, and Board effectiveness. The role has a strong emphasis on Board and committee support, including:

  • Preparing agendas and board papers
  • Attending and minuting meetings
  • Maintaining action logs
  • Managing the annual corporate and governance calendar

You will also play a key role in shareholder governance, ensuring compliance with the Shareholder Agreement and reserved matters, supporting funding-related governance requirements, and acting as a central point of contact on governance matters. Responsibilities will include:

  • Overseeing statutory administration across the group
  • Maintaining statutory records and Companies House filings
  • Monitoring alignment with the UK Corporate Governance Code
  • Identifying and implementing areas for continuous improvement

Additional responsibilities include:

  • Supporting director and committee member appointments, induction and training
  • Coordinating board and committee effectiveness reviews
  • Reviewing and updating terms of reference, delegations of authority and governance policies
  • Horizon-scanning for regulatory and governance developments that may impact the business
