Each year, Protective engages with hundreds of third parties to support our operations. The Associate Counsel collaborates with internal relationship owners, third-party representatives, and stakeholders to ensure acceptable risk levels and performance in our commercial contracts for products or services. This role supports various departments, including Accounting, Marketing, Actuarial, New Business, Operations, Vendor Management, Internal Audit, APD, Corporate Communication, Underwriting, and Human Resources, to achieve desired outcomes in the contracting process.
Responsibilities:
- Review, draft, and negotiate legal terms in a range of commercial contracts, such as software licenses, statements of work, NDAs, master service agreements, amendments, change orders, renewals, and service level agreements.
- Provide legal advice to business owners to ensure commercial engagements meet business goals while mitigating risks.
- Collaborate with internal experts like Vendor Management, Information Security, Compliance, and Enterprise Risk Management.
- Ensure contracts include protections such as liability limitations, IT security, confidentiality, regulatory compliance, indemnification, and service level terms.
- Stay informed of regulatory and industry practices related to third-party risk and performance management.
- Work with stakeholders to improve processes, procedures, and technology.
Minimum Qualifications:
- Juris Doctorate from an accredited law school.
- At least three years of experience in corporate, banking, or insurance legal practice.
- Strong interpersonal, collaboration, and legal counseling skills.
- Excellent oral and written communication skills.
- Experience working across organizational lines.
- Self-motivated with the ability to work independently.
- Analytical and decision-making skills.
- Strong organizational and document management skills, including proficiency with Microsoft applications.
Compensation and Benefits:
Protective's targeted salary range for this position is $78,000 to $105,000, depending on factors like location, skills, and experience. Our total compensation package includes comprehensive health, dental, and vision insurance, mental health support, paid time off, parental leave, disability benefits, healthcare accounts, a pension plan, and a 401(k) with company matching.
