The Opportunity: We are seeking a Global Ventures Counsel to be the primary legal point of contact for the Prosus Ventures worldwide investment portfolio, working closely with the Prosus Head of Ventures. This is a globally focused role at the heart of our venture capital investment activity, responsible for handling the majority of the ventures legal workload: leading new transactions, monitoring workflow through the broader team and managing the ongoing legal aspects of our portfolio of venture capital investments. You will run ventures transactions end to end and own the day-to-day legal relationship with our investee companies, while drawing on the senior oversight, mentoring, and guidance of the seniormost members of the team on the most complex or high-stakes matters. It is a role with real autonomy and breadth, ideal for someone who wants to be the go-to ventures lawyer for the Group.
Who You Are: You are an accomplished corporate and commercial lawyer with a strong background in M&A, investments and venture capital transactions. You enjoy being the primary point of contact and owning matters from start to finish. You are commercially minded, pragmatic, and able to move quickly, and you build easy, trusting relationships with founders, co-investors, and internal stakeholders. You are comfortable operating with autonomy and carrying a substantial workload, while knowing when to draw on the guidance of more senior colleagues. You thrive in an entrepreneurial, fast-paced, high-growth environment, and bring a positive attitude, adaptability, and a sense of humor to a global team.
What You Bring:
- A legal professional with 6 to 10 years' post-qualification experience in ventures, investments and/or M&A, gained at a top-tier US, UK or international law firm and/or in a comparable in-house role.
- Specialist knowledge and experience in venture capital and M&A transactions, ideally including significant work for or alongside venture capital investors.
- The ability to provide primary legal support to deal teams across the globe in an end-to-end deal process— NDAs and term sheets, due diligence, negotiation of transaction documents, and closing — including the selection and management of outside counsel.
- Experience managing the legal aspects of existing portfolio company investments, including review of board and shareholder actions, managing ongoing tracking and reporting responsibilities with the assistance of a paralegal.
- Strong drafting and negotiation skills, with the ability to lead negotiations and act as the point person where you are the sole legal representative of Prosus.
- Cross-border and cross-cultural transaction experience, ideally including emerging markets; experience in e-commerce and internet-related deals is an advantage.
- The ability to coordinate closely with internal stakeholders to ensure a proper flow of information across the organization for both new and existing investments, and to help prepare proposals for the Prosus Ventures Investment Committee.
- A practical, commercially minded approach and the ability to communicate clearly and effectively with non-lawyers, working with limited oversight across multiple time zones and geographies.
- A naturally flexible, adaptable disposition with a positive attitude and sense of humor.
