We are recruiting a Head of Governance & Compliance to lead corporate governance and compliance across a leading UK mobile and digital infrastructure provider. Reporting to the General Counsel & Property Director, this role is responsible for embedding a strong culture of governance and compliance, ensuring Board and committee processes run efficiently, and strengthening Board and shareholder engagement.
You will act as Assistant Company Secretary, supporting end-to-end Board governance and documentation, while also owning key compliance areas including GDPR/data privacy, competition law, and anti-bribery. The role includes line management and development of two direct reports.
Key responsibilities:- Lead and improve Board and committee governance, processes, and documentation
- Manage Board engagement and shareholder interactions
- Oversee compliance frameworks, training, policies, and monitoring
- Handle governance platform management (e.g. Diligent, Resolver)
- Provide regular governance and compliance updates to senior leadership
- Lead and develop a small team
- Strong experience working with Boards and senior leadership teams
- Deep understanding of corporate governance and compliance frameworks
- Strong knowledge of GDPR, competition, and anti-bribery obligations
- Confident communicator with excellent stakeholder management skills
- Proven people leadership and team development experience
- Experience in regulated industries preferred
