About the role:

Our specialist Sale & Purchase Agreement (SPA) team provides expert support to corporate and private equity clients, partners and deal teams both in the UK and internationally in all financial and tax aspects of SPA work. Our clients come to us to obtain our advice on the key value items in a transaction, including supporting them in their equity price negotiation as well as the drafting of the accounting and tax elements in the SPA.

The role involves the identification and articulation of value issues related to deal completion mechanics to assist clients in their SPA negotiations. Although a familiarity with SPAs and completion mechanisms would be beneficial, you will receive extensive one-to-one coaching and support from experienced deal practitioners, enabling you to develop into a trusted advisor at all stages of a transaction.

You will build on an understanding of the nature of Transactions products and how an M&A transaction is executed, and be responsible for:

  • Gain familiarity with key accounting aspects of an SPA and completion mechanisms
  • Work with an established and experienced team of SPA practitioners
  • Improve analytical and negotiation techniques
  • Gain insight into key value levers for clients in negotiating SPAs

The role is for you if:

  • Must possess an ACA qualification (or international equivalent) or have equivalent work experience. This includes international candidates who qualify through experience in their home country
  • Experience within a Transaction Advisory / M&A role
  • Strong analytical skills and commercial awareness
  • Work with a high attention to detail
  • Ability to communicate clearly with clients and other advisors

What you’ll receive from us:

No matter where you may be in your career or personal life, our benefits are designed to add value and support, recognising and rewarding you fairly for your contributions. We offer a range of benefits including empowered flexibility and a working week split between office, home and client site; private medical cover and 24/7 access to a qualified virtual GP; six volunteering days a year and much more.
